15/4/2019 18:18 | Neill's Options well deserved IMO, and sale his business alone. Trying to catch up - great news, Fest - I have failed to get much of an understanding of the BGIT financial plan. For my own notes, as below. Please augment or put me right if necessary. Don't want to mislead others. Relaxed that whatever details will be positive for VRS, for Neill, and for all shareholders. But “not a done deal by any stretch” (Neill). So details TBD and no point in speculating. Can expect a future Placing, months away, price TBD, quantity of shares placed and amount raised TBD, but from it BGIT will acquire up to 15% of VRS plc. Plus IIs and PIs some further %age if choose to participate. (Numbers depend on the share price at the Placing date and the discount.) Dilution of current holders of course. BGIT becomes a strategic investor in VRS. Whatever funds raised are to establish a new Chinasub, wholly owned, plus “other purposes”. (In principle similar to fund raise to acquire 60% of Gnano.) In Podcast Neill mentioned 2-Dtech and CGL acquisitions as comparison. New shares/placing involved, with some payments in shares, but they don’t seem directly comparable except for the result that those acqs became owned 85% by VRS, with sellers retaining 15%.
