14 March 2019Versarien plc("Versarien" or the "Company")LOI with Tunghsu OptoelectronicVersarien plc (AIM: VRS), the advanced materials engineering group, is pleased to announce that it has signed a Letter of Intent ("LOI") with Tunghsu Optoelectronic Technology Ltd. ("Tunghsu Optoelectronic") to further progress the relationship between the parties. This LOI follows the Memorandum of Understanding Versarien entered into with Tunghsu Optoelectronic as announced on 7 November 2018.Versarien and Tunghsu Optoelectronic will establish a joint implementation committee, composed of three members from each party, to progress the plans envisaged by the LOI, with a view to ultimately entering into manufacturing joint venture, although there can be no guarantee that this outcome will ultimately be achieved.The LOI details the parties desire to work together to develop and manufacture in China new generation graphene heaters based on the micro-flow graphene ink technology from Versarien's subsidiary Cambridge Graphene Limited. The LOI additionally details the party's intention to jointly develop other products utilising a variety of Versarien's 2d materials, including graphene-enhanced sports equipment and smart wearable devices.Neill Ricketts, CEO of Versarien, commented: "We are very pleased that our relationship with Tunghsu Optoelectronic has moved to the next stage with the signing of this LOI."We have been working closely with Tunghsu Optoelectronic since November last year and we look forward to progressing our research and development activities with them with a view to ultimately establishing a joint manufacturing capability in China."Tunghsu Optoelectronic is a leading global enterprise and we are delighted that they have recognised the quality of our graphene and wish to deepen their relationship with Versarien."We are also making good progress with our other collaborations in China and elsewhere. Yes - it does a different type of graphene that doesn't compete with VRS core graphene and application focus areas. Also much earlier in the process of commercialisation and scale up + team full of academics with less commercial expertise but one to watch IMO in the medium term

Well to be perfectly honest, in my humble opinion, of course without offending anyone who thinks differently from my point of view, but also by looking into this matter in a different perspective and without being condemning or dismissive of one's views and by trying to make it objectified, and by considering each and every one's valid opinion, I honestly believe...... that I have completely forgot what I was going to say!

Sometimes you wish some people will flock off and stop trying to pull the wool over others eyes. Others are happy to share their thoughts and justify why they think that. Teepee id love to see your reasoning and justifications for why you think as you do. I'm open to yours and others knowledge and findings just please back it up

The China lawyers at my firm often get contacted by Australian, British, Canadian or U.S. companies requesting we draft a contract based on a “just signed” Memorandum of Understanding with a Chinese company. And just about every time, we have to tell these companies that the “memorandum of understanding” they just signed with the Chinese company likely constitutes a binding contract under Chinese law and is almost certainly viewed that way by their Chinese counterparts.

In common law countries like Australia, Canada, the United Kingdom and the United States, MOUs typically mean little. Only the signed final contract really counts. This is not typically true in civil law countries like China which hold to a much stronger concept of good faith negotiation. Under that concept, it is not acceptable to simply walk away from an MOU if that would constitute “bad faith.” Since the traditions are so different, you can see where conflicts may arise.
