Company Officers are usually well aware as to who large shareholders are, and are aware if they are in the room at the time of a vote. If voting is found to have involved someone not entitled, and a challenge is made, the whole of the voting can be invalidated (not just the motions on which voting was close). (There are mischievous characters who might engineer exactly that). NOTE: This was taken from a source more than two decades old; maybe someone can verify if still applicable, and specifically whether applicable to AIM-listed stocks where regulations are less tight (and often less tightly enforced).
