This is the most remarkably deranged post we have seen for a while. Very impressive given the endemic delusion that reigns. Talk of dividends and buy backs are the ramblings of an utter fool. The next corporate action of any consequence will be only one thing, as it ever is, yet more dilution. Of courses there will some bedtime reading interludes to help get you all to sleep a little more easily, but dilution is the only tangible outcome. If you don't believe me, take a look at the balance sheets for the last 10 years. A company that has never earned a penny but spent tens of millions will suddenly pass all normal stages of gestation and birth overnight a solid ex growth cash giant that has nothing else better to do with its reserves but to pay dividends and reduce free float. Will be comparing it to VOD if not careful. What a muppet!

If gf were to make $100m profit then Tomco are entitled to whatever our percentage is. Be that 5-20%. Ie $5-$20m. As for how it's paid - more than likely as a dividend. I would also encourage the company to buy back some shares from any spare cash. But we still need confirmation from the bod that this deal is proceeding!!

So its really a question of how much can TOM pay someone else to take Greenfield off their hands ,the answer is of course nothing , they have no cash....

I meant it , there is an argument that Greenfield equity is Negatively valued , not positive.

It has no tech, no fixed assets , an "interest " in land that is overvalued that it has no capability or funds to do anything with.
It has no production skills or employees and no way to fund them.
It has debt and without someone else paying it is powerless to service it.

The drilling for super viscous oil in sand extraction is unproven described by the UBOG as " wishful" untested and expensive , Greenfield contributes nothing to it.
Any license attempted to "drill" will be on Valkor land and there is little or no incentive for anyone to go and do the same on Greenfield land until all other avenues have been explored - why would anyone drill for TOM's benefit when they have 100's of acres of their own?

Eventually if there is any potential in the land that TOM / Greenfield own or lease the easiest route is to bleed TOM dry with the 28% pa loan and take it off them later in exchange for not calling in the loan and putting them into receivership.

As that astute businessman learned after many years in business , to his cost , when times are hard and there is little to no cash in a business , owning the shares is meaningless , owning the debt wins the day (see Debenhams and Mike Ashley / Sports Direct £100m loss on shares to debt holders)

Valkor have learned - they gave away the shares for nothing and set them selves up lending TOM's $1.5m back to them at 28% creating the debt holder influence
(TOM paid them $1.5m to work on PQE's CORT plant )

So no I cannot see anyone buying the Greenfield liabilities , which Valkor gave away 50% of for nothing.

New year same old pseudo rationalising of how value emerges from a vacuum. There is no value in anything that this shell sham owns. Whilst you mugs will invest you limited resources into a fairytale, adults with experience know exactly what the racket is here and would laugh and escort the cake maker out of the building before introductions have finished. Just risible intellectual deficiencies and you pretend to be a the voice of sanity. Dear me. Tick tock old chap.

All good questions Diddy. We have a few ideas on answers but clearly don't know the percentage that tomco might retain in GF. In terms of revenue creation - The plant construction being approx 12 months, drilling of wells to production within 3 months. Like I have said any such deal removes Toms TSH2 liability. I'm sure that in order for shareholders to ratify the deal a full presentation will be issued.

I think the licence will be next. It does not directly involve TOM, but moves TOM on from the 30th car crash. It allows TOM to regain control of the agenda.

I almost added a sentence on the disposal of a % of Greenfield, but it gets too complicated. If there is a deal then the first question is 'what is the guaranteed element of income from the arrangement for shareholders?' In this speculated deal there is plenty of scope to put any outcome for TOM shareholders on hold for years.

TOM have to raise the 90% of TSHII by 28 Feb and someone will have to directly/indirectly lend the cash. Whoever finances the project will be very focussed on the value they are acquiring. It is a big ask.

And they would be taking a majority stake in it for funding the upcoming costs. TSH2s current large mining permit, resources and infrastructure should not be overlooked imo.

No idea but hopefully they will have deep pockets. .We will never agree on the value of Ts2 land. I still believe it is a very good deal, You, by comparing it with something not as good, don't.

50% of Greenfield , will have cost zero , because of the disposal rather than funds for a CORT plant.
50% of Greenfield's "cost " was spent on PQE's plant and is not owned or rented its merely gone and is NOT ( per PQE fund raise blurb ) even commercial - so seriously effectively worthless.

Aside from that Greenfield have liabilities - approaching $1.5 to Valkor and "potential" for a 10% interest in TSHII together with a much cheaper lease....but currently no takers.

Now you may say there is an agreement in principal for a 3rd party to operate on TSHII but TSHII has been up for sale for 7 years , TOM reached the end of its option period and TSHII have not accepted any offer from anyone else so have extended the option - says no one else was interested in buying.

At this stage you could estimate the equity in Greenfield to be negatively valued not positive.
So who on earth would want to buy it ?

Hi Diddy,I'll counter that with the next RNS being a proposal put to shareholders for the disposal of a percentage of Greenfield in return for a cash payment and continued equity in 2 projects, with no further liabilities for tomco. The other members of the JV funding 2 plants and 12 wells. All the best for 2023.

Next RNS will probably cover the third party licencing. Not relevant if TOM cannot raise funds. Cheaper for the third party to purchase out of insolvency - unless they are on their uppers. But don't let a few facts get in the way of a good narrative.

Leave it to the Marts, Damacs and Littles etc - can you not hear the euphoric laughter at your expense.
