Funnily enough the SEC filing refers to section 4.14 Financial statements of the 2 parties...

Great turn to page 19 and find out , yes ?

No - its just a few words saying the accounts were prepared....

No figures , no references to those accounts at all.

For heaven's sake, is it appropriate to start mentioning more 'loss making' scenarios. Investors realise that TOM is proving to be a not for profit entity and has to be kept 'ongoing'. But there must surely be some hope with V..... or could this be a blind alley. However the chairman and his colleagues will have done the dd so it must be a winner!

18m to reverse the transaction is stated as a possibility.

Just decided to look at the Vivakor website.

It tells us their market cap is $35m

Their recent press release says they are :

"The acquisition is structured as a Membership Interest Purchase Agreement ("MIPA") with the owners of SF Delhi and WCCO, Jorgan Development, LLC ("Jorgan") and JBAH, LLC ("JBAH"), to sell 100% of the membership interests of SF Delhi and WCCO to Vivakor for total consideration of approximately $37.4 million, subject to post-closing adjustments"

So in other words attempting to take over the interests for more than their own market capital ...

But the consideration :-

"The consideration to be paid by Vivakor under the MIPA consists of shares of Vivakor common stock in an amount equal to 19.99% of the total amount of issued and outstanding shares of Vivakor common stock immediately prior to closing, Vivakor promissory notes, and Vivakor's assumption of certain liabilities."


If they only want to use 20% of the current equity , that's just $7m
No cash
Promissory notes
and assumption of liabilities.......

Seems like someone is willing to get rid of the business for very little consideration despite the contrived headline figure.
So how much are the liabilities ?

$-30m ?

This may be telling

" SF Delhi generated $33 million in revenue and positive operating cash flow."

So reading between the lines it's loss making .....

Well, the reason i have come back in is that we have been waiting for news on finance, production, drilling and sand sales for a while now.

There have been numerous missed self imposed dates from the bod annd the agm is in 2 weeks. Ther simply has to be some progress before the agm or there will be some very tough questions to answer from some unhappy shareholders.

I am hoping for news of vivakor starting production, finance for the remaining 90% of the land and hopefully a drill/production update after finance.

IF and it is an IF, we get the finance we will finally make it to the pennies. If not, it was a poor decision to get back in.

Lets see. Over to the BOD.

Eddie Van Der Velt on Bloomberg - US oil shale producers are not willing to commit to long term investments that the anti fossil fuel environment , higher taxes and lower future oil prices , would mean them being left high and dry in future.

We already know that banks and financial institutions are reluctant to lend - its not ESG.

Terry has been producing words and pictures on the PET board for years , loads of BS about Iraqi government changes . conferences in Paris . oil pipelines , all adding 2+2 and making 17.

Despite hundreds of posts , thousands of words -Nothing came of any of it.

Oh lots of desperate sycophantic gamblers thanked him and praised him , I suppose some may have gambled more because of his fantasies.

But it all came to nothing regardless.
