26/8/2021 13:27 | Jaynealex, Here's how I see it. If there is going to be any takeover interest in Tomco/Greenfield, I personally don't think that it will be until after they have their own plant built and operating. There will always be skepticism until the technology is shown to produce steady flow-rates over sustained periods (but not as a demonstration plant like POSP). So, if Valkor (and admittedly Tomco) potentially have one eye on Tomco selling out sometime in the next 18-30 months say, what would Valkor do to maximise their share of such an event? They would use Greenfield as much as possible on their leases where the CORT technology can be utilised to maximise Tomco revenues, fattening the calf for slaughter. P.S. Enjoy your pint, wish it was me ;o) P.P.S. Re your comment about us not employing anyone on the ground, that is true as things stand today. However, in constructing and running our own plant we are going to have to employ people, that is when we bring the skills in-house. | damac
26/8/2021 13:00 | Well, I really cannot make head or tail of it. My only thoughts go toward a major company want to take over Greenfield, but it has to be a single company, not a JV, which would be messy. However this way all VALKORS assets remain as they are as a single entity..but wtfdik | goulding1215
26/8/2021 12:58 | I'm off down the bar , I'll check in later | jaynealex
26/8/2021 12:58 | Come on what do other people think , any other views ? | jaynealex
26/8/2021 12:50 | SB will only be on the board if the 10% is paid , the finance delivered , we start building a plant and Valkor exercise the option for the shares Untill then , and things could start moving any time now or next week ,Tom is a company with an unlimited licence for the Petroteq IP , its own patented technology ( well 80%) and some directors and some cash on the B/S | jaynealex
26/8/2021 12:45 | Even the PQE promotion machine has gone to sleep. | vauch
26/8/2021 12:39 | Agree Ajj ...but let's see how things pan out | jaynealex
26/8/2021 12:38 | SB on the Tomco board would certainly be a huge plus and validate the whole project moving forward. It will definitely be a nice blue day when that appointment happens. | ajj2003
26/8/2021 12:36 | And how do Greenfield " assist " Valkor ?? "It also tells me that going forward the intention will very much be focused on Greenfield supporting Valkor on other works as and when required, to the benefit of all parties." Sorry don't see that one Damac ...unless our non exec directors have special skills that We're yet to witness We don't employ anybody on the ground as it were | jaynealex
26/8/2021 12:29 | AJJ2003 That is a very valid point. You would think that with a 29% holding in Tomco that Valkor will demand to have one of their guys on the board. | damac
26/8/2021 12:23 | No mention by Proactive Investors that funding could now take up to 3 years to finalise. Perhaps they also read the 3 year comments in the RNS as relating only to a 3 year termination clause being part of the proposed acquisition plan. | damac
26/8/2021 12:15 | TomCo Energy to take all of Greenfield Energy venture "We are very excited by the future potential of Greenfield,” TomCo chief executive John Potter said. TomCo Energy PLC (AIM:TOM, FRA:NI41) is to take full ownership of the Greenfield Energy LLC vehicle in a share-based transaction with partner Valkor. The deal follows a successful phase of trial work using Petroteq Energy Inc. (TSX-V:PQE, OTC:PQEFF)'s existing oil sands plant at Asphalt Ridge, in Utah, and as Greenfield advances engineering design programmes for new facilities. "We are very excited by the future potential of Greenfield,” TomCo chief executive John Potter said. “We now have full control of Greenfield which affords TomCo's shareholders the opportunity to fully benefit from Greenfield's significant potential." Nothing is to be paid upfront by TomCo. A deferred consideration of shares, representing 29% of TomCo’s present issued share capital or up to £3.1mln, will become due in the future upon Greenfield receiving funds, loan or credit facility for the construction of an oil sands processing facility (as envisaged in a FEED study). Due diligence is presently underway for a potential site from Tar Sands Holdings II LLC which owns some 760 acres of land and certain non-producing assets in Utah’s Uintah County. Greenfield intends to develop the site for the mining of oil sands and construction of a commercial scale processing plant. A FEED study envisages a proposed plant to comprise an initial 5,000 bopd capacity, with a possible expansion to 10,000 bopd. Potter, in Thursday’s statement, highlighted: “The due diligence undertaken so far on the Site has been positive such that it appears ideally suited for the construction, subject to funding, of Greenfield's first commercial scale plant, with significant resources for potential exploitation. Additionally, the recent results of the FEED study were most encouraging. "Greenfield's focus remains on completing the requisite due diligence on TSHII and the Site and progressing the necessary funding package in order to, inter alia, pursue construction of an initial 5,000 bopd facility at the earliest opportunity. | damac
26/8/2021 12:07 | The following comment from the RNS tells me (and I accept that others make take a different viewpoint), that it was necessary to tidy things up for funding and it has not been done with an view to a potential takeover by any outside party. It also tells me that going forward the intention will very much be focused on Greenfield supporting Valkor on other works as and when required, to the benefit of all parties. "The Acquisition enables TomCo to assume full control of Greenfield and, the TomCo directors believe, should facilitate discussions with potential debt and equity funders with respect to the potential acquisition of TSHII and future plant construction and achieve greater alignment with Valkor." | damac
26/8/2021 12:02 | The main point is the ownership of GREENFIELD is with TOM. Funding the site and plant is going to require great expertise as is the plant build itself. The time scale is ?? Expect Groach to sell off part or all of GREENFIELD at the earliest opportunity which could be extremely rewarding, otherwise this will be a long haul which Groach will not Recommend. After a placing the share value will settle and then progress upwards as interest starts to focus on the possibilities. | lopodop
26/8/2021 11:57 | You tell me , I thought you were connected the amount of shares that I have | wilson2
26/8/2021 11:06 | No mention of how the 10% is going , when the deadline is less than a week away, but instead introduced a new variable of financing taking 3 years OR never. What if they don't exercise the option by the 1st Sept? Is there anyone else waiting in the wings to grab the leases? Or was the deposit , a red herring designed to create a sense of urgency ? If no one else is interested , its more lost money but there could still be forever to purchase. One thing is clear, Nothing about this company is straightforward.... | fenners66
26/8/2021 10:50 | It's very very quiet given the size of this news ??? And no real volume ! We need that RNS on the 10 % deposit on the lease purchase ... Are we going to get it ?? | jaynealex
26/8/2021 10:40 | Vauch we need the 10% option purchase RNS ...that will move the share price and ensure a bigger takeout price if that's where this is going | jaynealex
26/8/2021 10:37 | Well for every 1 m they spent at 593m shares , that's 0.169 p So even the current share price would give them.back approx £3m Well I'm pretty sure no where near that amount has been spent ...infact less than a mill Someone correct me Plus I'm pretty sure even if the option for the 593m shares hasn't been taken up when a bid comes in , they do come into play for the acquisition | jaynealex
26/8/2021 10:32 | But at this time the markets don't know what to make of the news. | vauch
26/8/2021 10:31 | I can see this one of two ways, a reverse into Tom or a takeout by large oiler | vauch
26/8/2021 10:30 | Come on Vauch , I'm lazing in the sun | jaynealex
26/8/2021 10:29 | Jay, give us a calculation on what they have spent on it so far? | vauch
26/8/2021 10:28 | Out of interest what takeout price would Valkor need to get their " dead money " back | jaynealex |
