26/8/2021 09:35 | Damac ...it's called dead money ...move on with your own leases and pay the 2 m licence fee per plant ...and give up the 50% ... for full ownership and profits ..I bet the NPVs are far higher ...the dead money just becomes time zero investment in the cash flow model for NPV calculation My posts from June ...were bang on with this scenario For us Tom shareholders its key we get the lease purchase deposit RNS by sept 1 ...which will indicate we're moving forward If we don't then I think we're into a takeover or JV ..the predator wanting the licences Which will still drive the share price up but not as much as if we were developing plant And when it happens ..Valkor get their money back and then some Damac I value your posts , so don't get me wrong ...it will be interesting how it pans out I personally need a positive result ..I'm just commenting how I see it | jaynealex | |

They have obviously had to include a legal clause on the acquisition of Valkor's 50% of Greenfield so that the deal can be terminated should financing not be concluded for whatever reason. The fact that the clause will be effective for 3 years means that they have to use the period of '3 years' elsewhere in the RNS, it is largely irrelevant. In my opinion, finance will be concluded VERY soon. | damac | |

26/8/2021 09:16 | My thoughts, for anyone who cares about them.... On the whole, I feel this is a tremendous deal for Tomco regardless of the future introduction of 592,830,258 new shares. It looks very much like it was necessary to finalise the funding for the initial plant i.e. the lenders unwilling to fund Greenfield as it was with 50% effectively being taken on by an unlisted company (Valkor). Greenfield now being owned 100% by Tomco negates any issue around that. The deal totally 100% commits Valkor into going forward with an invested interest in Tomco, and thus Greenfield being a success. It also demonstrates a massive level of confidence in the Greenfield project & Tomco by Valkor/SB in that they are more than happy to take their future rewards from Greenfield via a 29% holding in Tomco as opposed to a 50% holding in Greenfield. Going forward it also means that it is in Valkor's best interests to use Greenfield as much as possible on other Valkor leases. With regards to future dilution through new shares you have to consider that all future earnings from Greenfield will now be 100% assets of Tomco and will be reflected in the market capital of Tomco. Issuing 592,830,258 new shares at a current value of £3.1m in return for additional hundreds of million Dollars on the balance sheet year on year is phenomenal. Just think of Tomc0's potential market capital when the first plant is up and running. | damac | |

Correct me if I'm wrong ...Greenfield paid a one off 2 m and for developing the process they can use the IP on multiple plants just paying the 5% royalty with no further 2 m payments Tom needs the finance , first plant , lease and income to get to a " better place" , cash reserves , profit and strong balance sheet I can never see Tom.buying individual.leases as it hasn't got any experienced engineers , it's future is Greenfield ( ignoring it's own technology ) To me Valkor does have a choice...the JV Greenfield or buy and develop its own leases To be honest the JV has been a life saver for Tom , but why Valkor needed Tom , I just don't get ...unless it too was cash strapped and needed Tom's money initially Then again I'm suprised there was no loan finance for Tom.and they had to go the placing route But there again ...we are where we are !!
