PB - they are disclosure forms - public disclosures by parties with a share holding of 1% or more when there is a planned takeover.

Totally agree, the biz is much stronger & potential to increase biz has never been better as the NHS backlog cannot be sustained alone by NHS !Cannot understand BoD's thinking unless they have an ace up their sleeve & are tempting a white knight to come forward..... let's hope so ?

Thanks for your views, the problem I see is their main shareholder supports the deal and clearly no plans to make an offer themselves. I also think they are undervalued. With the NHS having to outsource more ops etc to help clear the backlog there has never been a better time for Spire.

I hope so Dekle. The share price got to about 2.06 intraday a couple of weeks ago, so 2.40 is only about a 15% premium against that.

The offer that the board turned down about 3 years ago was around 3.10 and since then (in theory) we have better management and a stronger business.

My opinion is that 2.40 undervalues it, but as a holder that's hardly surprising.

Spire Healthcare Group Plc has announced details of an offer by Ramsay Health Care Limited. The offer is to purchase all of the outstanding shares of Spire Healthcare Group Plc via a scheme of arrangement.

Under the terms of the offer, you will receive GBP2.40 for each Spire Healthcare Group Plc share held.

The scheme of arrangement is subject to approval at a Court and General meeting, due to be held in July 2021. If approved, you can expect the proceeds to be credited to your account upon receipt.

Oppose. This has to be worth >£3 given next few years outlook of catch up money post COVID and as per the press what is freehold estate worth net of debt? Cost to build and scale cannot be underestimated. It would take years to locate, build and recruit for that many hospitals not just book value.

Mediclinic has provided an irrevocable undertaking to accept the offer, so a counter-bid won't be coming from them. But it's clearly an opportunistic, low-ball bid and I'm going to hold on to see what transpires. With around 30% of the shares they are some way short of the 75% they need.

The 2017 MDC offer was around 298p - but that was cash and shares. Not sure if they could come back with a better all-cash offer.
