Well I’ve joined you nico in a few top ups today. Added 20k shares in total.

My recent write-up confirms why I believe SPSY an excellent investment (see post 3/4 weeks ago) & with the current uncertainty in the U.K. I like the $dollar denominated & diversified earnings.

The Pounds continued weakness making our dividend here look ever more attractive. I would think many here will be reinvesting said dividend, lets hope the buy back just holds off for another few weeks ;o)

Under the proposed plan, the Company is reducing the shares available to be issued from 13.8M shares under the existing plan to 11.3M shares under the proposed plan consisting of 4,297,851 options currently outstanding and 7,000,000 shares available for future issuance. If the proposed Amended and Restated Plan is not approved, the existing 2007 Plan will remain in effect.

The option document states that the exercise price has to be the market value I am pretty sure. Better than the usual 0c/p options we see all the time these days

Not that I have been able to find any information on this but provided the option exercise price is the prevailing share price I would be less worried about what is a huge number of share options. At least management would then only be pulling out up to 17% of the value added from her forward.

In this context I see the last lot option exercise was exercised at $0.60, suggesting that the exercise price was not just set at 0.

According to the AGM notes, there seems to be 4,297,857 options granted under the previous scheme which can be added to the 7,000,000 as potential future dilution. I make that a little over 24% total dilution, if and when all are exercised.
Having said that, a similar amount was in existence when the company listed, so it's not exactly new news. Anyway, if as you say, we have a genius for a CEO, I'll be happy to let him prove it and good luck to him!

Nico, I looked back through the Admission document and it seems that the previous scheme was set up in 2007 and a total of over 14 million shares were reserved for employee incentives. As i understand it, there are 9,182,222 remaining (not granted). The problem for the company is that the board are unable to grant any further share incentive options under the scheme as it is more than 10 years old. They wish to set up a new scheme, with shareholder's approval, which will replace the 9,182,222 with an ability to issue 7,000,000 under a new scheme. The key point which struck me whilst reading through the proposal was that the previous limit of 200,000 options per year/ employee will not apply under the new scheme. So, I imagine we can expect some chunky share options going forward, if approved.
