Agree with you Harrogate. Simply a replacement scheme.

“Board of Directors is asking you to approve the Amended and Restated Plan for two primary purposes: (1) to reduce the number of shares of Common Stock currently available for new awards to eligible persons from 9,182,222 shares down to 7,000,000 shares.”

Kind regards,
GHF

Hi Nico. I have attempted to read through the option related material on the AGM notice and I am pretty sure these are not an additional 7 million options but replacement scheme as the original was over 10 years old and that seems to mean that any new awards under that scheme cannot be "incentive stock options" which are more tax efficient for the prion holder. But as always with US legal documents it is pretty opaque

nico, are you going to Mello this week? If so I am sure member of the Sharesoc team would be able to answer, or find out, any risks from the resolutions.

If nico isn't going is anyone else?

Can someone cleverer than me (most of you !!) please look at the AGM resolutions as surely we aren't issuing 7m more options negating any buyback ?We just issued over 1m free options with unlimited time value so it makes no sense at all Need to know what I'm voting for !!Thanks in advance

A large amount of the upcoming AGM is about share options Does it mean another 7m options could be granted therefore more dilution or is it about the latest RNS about the "change of control"Anyone read the AGM notes?

Only another 4,499,000 shares available for repurchase under the current mandate. Could take a while to get through them at this rate! ;o)

The board of Spectra announces that on 10 May 2019 WH Ireland Limited purchased for cancellation 1,000 of Spectra's common shares at a price of 130 pence per share. This purchase was made in accordance with the Company's Byelaws and with a board authority dated 8 April 2019 for up to 4,500,000 of the Company's shares to be bought back.

If your IG shares are a spreadbet you won't have a vote Many have asked me for this AGM so please however small your holding please vote as all votes count and we need a quorum May make us more attractive to institutional investors I'm still hoping for 2 beats this year as has been customary the last few years Forecast is for 4m Pbt I'm hoping for nearer 5.5m dollars

Thanks for the nudge Nico.

Not having voted at a PLC AGM, today was a first time. I phoned HL and IG to ask how to do it. In case it is of use:

Hargreaves Lansdown needed just a secure message sent saying stock name and voting preference.

IG needed the proxy form printing off from the Spectra Investor relations web page, filling in preferences, signing, scan and send back to them. Edited (IG holding is in an ISA not spreadbet)

June 24th AgmPlease make sure everyone votes as it's one of the negatives that we never get a quorum Thanks Nico

Agreed ,it's very odd indeed Maybe they have bid the big shareholders and they aren't sellers ?Or maybe their buying level is lower down ?Or maybe it's there in case we lose India ?Or maybe it was put in place to appease holders before the unlimited time value options were announced ?I've no idea but it's very odd imo

No i am a buy and hold for ever sort of guy myself just frustrating to see jumps forward met by small sells that bring us back down again. I did think having been given the green light to buy shares that we may well have seen some buying from the company by now.

No interest in trading this as one RNS and we are up 30p and we miss out on big gains Just a bit baffled that now one share has been bought

If i had sold on each spike (last Friday for example) and bought back a week later i would have made an awful lot of money and own an awful lot more shares. Still mustn't grumble even if it is three steps forward two steps back.

Of course I would be happy with a 10 bagger as well. Title of book is to grab attention but principles are very important if looking to compound your capital :) (although 100 bagging happens more often than you might think!)

Totally agree but I would be happy with a 10 bagger from here (which I think is possible if we win the Indian contract and Trubrand reaches it fullest potential)Have a good weekend Thanks for your reasoning Nico

I read a book called 100 baggers (highly recommend it). You need decent roce, large market opportunities, good management, good use of capital structure (share buybacks out of cash flow can help), rerating of PE upwards at the same time as significant revenue growth. This seemingly ticks many of the boxes - potentially. Obviously you never know otherwise we’d all be billionaires :)
