Was there, I missed that but if so it wasn't exactly the orderly sale that was agreed. But if they disposed of their holding in April it doesn't explain the subsequent sell off and share price fall. My share of the year is rapidly becoming the dud of the year.

Yep thanks. Certainly would help to explain the situation. I don't know about unhappy placees but I doubt any small shareholders are exactly ecstatic either.

This could well be the cause of the collapse in the share price

The acquisition of Secarma - largely forced and to keep certain matters out of the courts - is just over 12 months old. Here are the terms. Consideration shares now pouring on to the market and Berenberg have no placing power. Of course SWG had a share consolidation in September last so the number of shares to be sold (if they were all to be disposed of) would be 2.9M (not 292M). Terms read as follows :

Under the terms of the Acquisition, it has been agreed with the Seller that they will not dispose of the Consideration Shares for a period of 12 months from issue, with a further 12 month orderly sale period. Accordingly, application has been made for 292,292,565 Consideration Shares in the Company to be admitted to trading on AIM ("Admission") and Admission is expected to take place on 15 April 2019.

Coincidence ? I think not ! Either way, something is way wrong here and it is a question of what !! Must be some very unhappy Placees around.

They did raise £3.75m before placing costs c.f. a minimum gross of £2.5m expected, so they were well supported.

That 50678 sell at 9.58 certainly didn't help and I'm keeping my fingers crossed that that was our sellers last tranche.Unless someone has inside information there doesn't seem to be anything in the public domain to justify the share price drop since the successful fund raising.

Has to be something the company has not told us, as 6 weeks ago the share price was in the 290p's. Since then, on "no news", the share price has dropped by approximately 30% and today you could buy at 206p for most of the day.


O.K. the company done a placing that us small pi's were not invited to participate in at 240p, which was a 20% discount on the then trading price. Now we see the share price drop another 20% on that discounted price.

Recently we see our Broker reduce the target price here by 20% from 500p to 400p

Observation - too many 20% drops for a company that is supposedly gaining momentum.

However, I personally did add some more to my holding today at 206p in the hope we will soon see a reversal of this falling share price.

I picked some up on the drop on Thursday. Plenty available then under mid price which was a bonus. Was hoping for a bit more weakness to add some more nearer 185 but doesn't look like that's going to happen. Plenty of buyers today. Onwards an upwards.

There were 3 trades @2.05 for 50,000. 2 of them late reported from the morning. A couple of small after closing for 2.09. As they say 'investing is rarely profitable if not a little uncomfortable.'

Seems a fair risk/reward here, with the directors effectively having bought in at 240p. Their apology at the time re small shareholders not being able to participate in the 240p placing now looks like it was a good thing :-)
