I'm guessing that the consolidation of shares etc is still taking place. My trading account still shows that I have all of the shares that I owned previously plus my OO entitlement. The share price probably is a reflection of this too.

Interesting. Thanks Spark. Larry Zulch came across very well at the last AGM which he attended. I think he is a massive improvement on what we have seen before at Redt.

Result of EGM

redT energy plc (AIM:RED), to be renamed Invinity Energy Systems plc (AIM:IES), is pleased to announce that at the Extraordinary General Meeting which took place at 11.00 a.m. today, all Resolutions were duly passed. Upon Admission, the Merger between the Company and Avalon Battery Corporation will complete to form Invinity Energy Systems plc ("Invinity"), heralding the start of an exciting new chapter for the combined company.

Also, as a result of the Resolutions passed today, the Company's Ordinary Shares will be consolidated to form Consolidated Ordinary Shares at a rate of 1 Consolidated Ordinary Share for every 50 Ordinary Shares. On the Share Consolidation, all Shareholders will be rounded down to the nearest 50 Ordinary Shares, in contrast to the fractional entitlements previously stated.

The merged entity will be named Invinity Energy Systems plc ("Invinity"). Bushveld entered into a Joint Venture agreement with redT on 9 March 2020 to form a Vanadium Financing Partnership to supply vanadium electrolyte to be used in third party-owned Vanadium Redox Flow Batteries ("VRFBs") projects developed by redT. The Joint Venture agreement will be transferred to Invinity.-- The Merger will create a leading player in the growing energy storage market with a presence in North America, Europe, sub-Saharan Africa and Asia.-- Invinity is expected to have strong competitive advantages, gain financial stability and form a base for rapid future growth.-- Invinity will be able to offer a VRFB that competes effectively against other energy storage technologies.On 1 November 2019, Bushveld announced it had agreed to support the Merger with funding of US$5 million through a convertible loan to Avalon. In accordance with the terms of the convertible loan, on successful completion of the Merger the loan will convert into shares in Invinity. The previously provided US$5 million loan (together with the accrued interest and commitment fee) has been converted into 302,978,063 Ordinary Shares at a price of 1.65 pence in Invinity, representing up to 8.71 per cent of Invinity. The shares issued to Bushveld are not subject to a lock-in arrangement.In addition to the funding from Bushveld, Invinity has raised GBP7.9 million through an equity placing at 1.65 pence per share.Under the agreement, following the completion of the Merger, Bushveld has a right to nominate a director to the Board of Invinity, subject to Bushveld retaining at least 5 per cent of the issued share capital of Invinity. The nomination of a director will be done in due course. Bushveld will retain that right after one year provided it beneficially owns at least 10 per cent of Invinity. In addition, for so long as Bushveld beneficially owns at least 20 per cent. of Invinity, it shall have a right to nominate two members of the board of Invinity.The investment is in line with Bushveld's strategy of partnering with VRFB companies and part of the VRFB Investment Platform ("VIP"), as announced on 1 November 2019.Fortune Mojapelo, CEO of Bushveld Minerals Limited, commented:"At only a few months old, our VRFB Investment Platform is already gathering momentum on the back of the investments made to date."Invinity starts its journey with a strong project pipeline already in place, one which it plans to grow even more in the future. Surely RED should be in there talking to planners and energy farm operators about the safety features of flow batteries. As I said in a previous post, might have been on LSE, lithium battery storage should not be used anywhere near human habitation. The case for vanadium flow batteries in these situations is overwhelming.

So, they wanted to raise 6.25m but ended up actually raising 155k.... Ouch.

Two bankrupt companies now making up one even more expensive black hole.

A very incompetently handled fund raise.

Looks like a name change as well so everyone forgets the incompetent past, and a consolidation so it doesn't look like a dreadful penny share company - which it is.

155k wont last long, they'll be back and their new consolidated shares will start to dilute again. lol

There seems to be sound reasons in my view to consider that the preassambled standardisation approach that Avalon have taken to flow batteries is a sound one. Avalon have people who worked for VRB power in 2007 who went bust and Prudent Energy who bought its assets and I think effectively went bust too, I think, but still exist as vrb energy. These experiences of failure are likely to generate a healthy approach to success routes in flow battery approaches as several Avalon people had had involvement with these companies.

Avalon sales have been closely associated with sales to a few companies which is a risk, but they seem to have done well relative to RED who have sold very little which of course why they struggled. I remain cautious of the ability of Invinity to gain a foothold in long term energy storage field with companies using liquid air to store energy starting to scale up.

Quite right.Avalon brings a completely new strategy to Invinity as it was founded on the principle that:"VRFBs need to be treated as products, built in a factory to identical specifications, rather than projects to be designed and engineered for each site"IMHO Avalon and it's management bring a wind of change to Invinity that introduces sound commerciality that was previously missing from redT's strategy. Larry Zulch and Matt Harper know how to scale the business.GLA following, hopefully, approval of the merger at today's General Meeting.

#2060 re post Pugugly. Well there are several other reasons for taking up the open offer shares. Firstly those who bought at the heady 16p days buying a £500 punt, now worth say £40 in the market, as with the new shares dealing costs are eliminated.(Yes RED touched those prices once.)

Penny pinchers who when the shares were consolidated did not want to lose up to 49 old shares and thought they might add a few more. Those shareholders who had a lucky trade after RED shares were relisted after suspension and thought that at least a proportion of the profit might be worth letting the company have. I am likely to sell most of my shares at 1.3p, if they ever get there and I have by doubts, having made a small net return over the 3 years I have held.

It is real sales at scale that matter for Invinity going forward and that is the area that has been illusive to say the least for RED.
