I calculate an II (L&G?) have got rid of 475,000 today. At last declaration L&G had 908K and on the 10th they declared 250000 sales but there were two trades for that amount at the same time. So possibly they only have just over 183K left.

Volume very big today. Last time it was higher was 31st October 2019, which by coincidence, is when I sold out.

I'm hoping this high volume bodes well (now that I'm back in).

When you can no longer buy size nearer the bid than offer will be the sign that they are out.
Reckon another 300-400k left?
Once they are out (save any other news) the spike could be swift; as they have dragged it down from the 60p mark.
Took a few as a marker today, waiting for the right time to add,
good look all.

Have bought my first lot today as I believe L&G are either out or very close now. Will be adding into any rise here as we have added bonuses with the potential takeover.

If they can markedly reduce debt in the next few years to nearer zero, and grow revenue at just 8% over 3 years to give turnover of £70m, then applying 2x turnover value would give £140m against £40m now, a rise to ~140p. 3x turnover would give £210m ~210p. A takeover below 140p would be too cheap imo.

Might as well kill the FSP now and liberate the price to.see where it settle and build on that.

Any acquirer could then go into the market and probably pick up 30% << £1 and then bid for the rest.

They could even push for a seat on the BOD to shake it up.

It smells of no serious intent to sell. An active investor represented on the BOD might not be a bad idea but no sign anyone is interested.

Lower the market price the harder to justify a sell at £1+. Buyer will just point to the market price + premium.

If PHD seriously want to sell now is the time to drive the share price via news.

They are not = no serious intention to sell imho.

If debt is treated as equity then the debt(£33m) + equity(£40m) currently values the company at £73m. Assuming they can pay off debt at £6m a year (based on figures to 31 May 19), then that should feed into share value £-for-£, equal to 15% growth in shareholder value per year even without factoring growth rerating. Good value imo.

No issues Pink and Cure. I think either way long term this is a winner. With the new NHS potential and the tie up with Fiscal technologies, will either make this a 115-125p takeover on the cheap. Or we will see the BoD 'grow a pair' and take PHD to the next level and quadruple the share price and turnover.? DYOR IMHO GLA CIAO for now.

1. Morning TIM,

When you receive this in your inbox Friday, the markets will have opened and me and others on LSE bulletin board and ADFN bulletin board will have been taking advantage and future opportunities of Proactis by buying up most of what L&G are selling. Why we don’t know.

I like them as a valued and quite large investor of over £200k would love to see an update on EOI parties and the US Investment company interested and negotiating / due diligence by both / all parties. Is there any chance of an update / RNS of some kind to re-assure your critical shareholders that all is progressing well? Or if no FSP then a decision and let’s move on and build and generate more opportunities within a lucrative market, especially the NHS leads!

2. Good morning Peter, thanks for your continued interest in Proactis and your confidence in our potential. I am doing all I can to realise it.

There remains little I can say regarding the FSP except that we continue to move forward with interested parties but cannot confirm at this stage whether or not a transaction will ultimately result. The quality of the potential transactions is sufficient, presently, for us to continue our discussions. We are working hard to deliver either something or nothing so that we can give the clarity that everyone wants.

That is all we can ask for and I am sure we are in safe hands and either way Proactis is a force for the future! The NHS potential is huge and as a stand alone company this successful opportunity would launch Proactis into the Top 5 and send the share price rocketing to over 200p!

Looks good value without a takeover. As it pays down debt in next couple of years and maintain growth that will transfer to equity value, and attract a higher multiple.
