RBear has about 35m shares. Reckon cost sverage 3p for £1m investment. Currently worth around £1.8m at 5pHe will want some cash return....(Just like rest of us !!)So reckon a 3p divvi is on the cards. Then his cost base is 0. Run the gambit on the rest of investments (Balance of PayApps, Fresho etc) ......or do an RTO down track if find decent investment worth the hassle.

Primorus Investments PLC (the "Company"), the AIM listed investment company, is pleased to announce that the reduction of share capital of the Company pursuant to section 648 of the Companies Act 2006, comprised of the cancellation of all deferred shares in the capital of the Company and the cancellation of the Company's share premium account as at 31 December 2020 (together, the "Capital Reduction"), as approved by shareholders at the General Meeting on 8 September 2021, was sanctioned by the High Court of England and Wales (the "High Court").



The effect of the Capital Reduction is to create distributable reserves."

Plus AGM gave rights for up to 10 % buy back

A 33.75% tax and 39.35 % over c£125 k might be a factor ...

Anybody owning 24 % of a company will take this into consideration

A 3 p dividend is a c £475 k tax bill..

Div tax could also be a reason to see sells at cash value .

I really can't see a reverse takeover too many other assets complicating matters plenty of empty spacs more favourable options to targets who are calling the shots .

PRIM is in a position to pay dividend, and it might still do that.

Hold if that makes sense; sell if that doesn't. Strictly IMO, of course.

The share price is only mrginally above the level of approx 3 years ago.

'Gap' at approx 5.23 .. which could close at any moment.

Sp has risen sharply, in recent weeks... but only to make up for lost ground over the previous 12-36 months .. 'volatile' is the word.

Volume is very, very low.

(I am intrigued to know when/whether you intend to 'harvest' your crop!! or, why did YOU buy?)

However, to the question why no dividend?

Is the answer really: 'well sell up, if you want a dividend', or, 'no one forced you to buy'?

What is the reason for NOT paying a dividend? Do you have an answer?

And yes, it is up to the BOD, .. goes without saying.

Magpies, we will have to agree to disagree. It is entirely your decision when to buy and when to sell.
'None of the cash has found its way into those who has bought into Prim' - the share price has doubled in the last month and so clearly some of the money has found its way into the share price. Do I think that the whole value and company assets is reflected in the share price- definitely not. There is a disconnect between NAV and MCAP and that is true of a lot of investment companies. It is up to the Directors of the company to address this issue - We have only had the cash in the bank for a day.
Once again I suggest you do your research and look at why we did a capital restructuring and look at the resolutions passed at the last AGM.
No one twisted your arm to buy into this company and as I said its your choice what to do with your shares. Please give me a call if you want to discuss this further.

And here's another angle:

Imagine if farmers only ever planted 'seed-crop', and re-planted the entire harvest, again as seed-crop, and so on, and on each season: the farmers would be very happy with their skills, but people would die of starvation.

You have to sell some, eat some and keep some of the crop, no?
