We’re all frustrated Juju but we’ve now got some clarity on things. We’ll get official confirmation on the contractors plus the arrangements between PHE and Peel in the next month or so. Financial close will come at the end of January / start of February. If I was a betting man I’d say the share price will start to move in one month on this news. I would think any rise would now most likely be sustained and gradually increase as we head towards the new year as investors would not want to miss out at this price. I’m certainly not, I’m topping whenever I can.

Not too shabby an interview.PHE, need to form a SPV, with Peel NRE. Peel haven't found an investor. Definitely no operational project this year. Sometime first quarter to get building DMG, companies are selected and are unlikely to start manufacturing DMG before the site is finished at Protos. Nor able until finance is secured. Non of these engineering or manufacturing companies willing risk building DMG, exchange shares/future royalties. Just what the die hards here been craving for more mystery. Maybe sometime 2023, fingers crossed. Certainty that HUI, is building nothing without Foak at Protos.

Peel will have income from the lease, which is what they will get from all of the other plots.

In addition to the cost of the site infrastructure, which is down to Peel and not the SPV, are we to believe that they are willing to fund 50% of the SPV = say £13M and also take a substantial share of PHE at a cost of £10M, and pay PHE £500k to exercise their UK exclusivity option? I will be surprised if they lay out all of that.

Yeah, bung ‘em a couple of hundred quid a week lol. Nah, Peel are very much involved. The fact that they’re at a very advanced stage with the final two contractors means we’re in touching distance of this thing finally taking off.

They will get rent lol. So far they don’t seem that interested in getting involved.

Perhaps HUI should be the other 50%

We shall see what happens in terms of what comes first but I’m actually feeling more confident. It’s obviously not ideal with PDD leaving either, there’s obviously some friction going on. But with KR now at the helm hopefully he’ll get things sorted now and the 50% share is great news. I’m still going for construction partner / financial close in October / November 🤞🏻

It's generally anticipated that Peel will be taking the remaining 50% of the Protos SPV, but I haven't seen any confirmation of that so far. Clearly someone has to commit to that before FC can be effected.

Just because Peel have established the SPV as a company to get the ball rolling doesn't necessarily mean that they are going to subscribe for 50% of the share capital and stump up for half of the capital costs.

Most construction companies put a quote in with margins surely PHE would do the same for financial close. Don’t think they will get an accurate price from anyone at the moment with prices continuing to rise.

I think Howard said in a podcast recently that there was problems with the construction partner. Sounded like they weren’t up to it, that was the reason for the delay. I’m sure they would have a rough estimate on construction costs but surely they need an agreed price before financial close too? We need someone with some experience of this to tell us what the protocol is.

I don’t know if you saw it but Howard and Aleksandra did a presentation at virtual conference the other week. I watched it but the link doesn’t work anymore. Anyway, they had some sort of PowerPoint presentation which they rattled through as they only had 30mins (inc questions) but I paused it on the image of the plant. It was a 2D AutoCAD screen grab and the system inside the building was spanning four floors. It was way more complex than I had imagined. I know that it was the HUI plant they were showing but they will both be similar. After seeing that I’m not surprised there’s delays tbh.

If PROTOS doesn’t go ahead do peel have to pay back the loan or would it disappear with the project.

They have already put an estimated cost together some time ago they also had 5 bids for the construction so they would have had rough costs. Unfortunately as with every construction the longer this goes on
the higher the price is going to be.

There is definitely more to this time will tell of course. You don’t get 3 directors leaving all at the same time imo.

Graham,

I think finances have already been arranged albeit no documents have been signed yet. My understanding is that financial close is the last thing to wrap up when everything else is in place. Unless someone can advise differently???

Ps. How could they execute FC then find out they need more money for the construction firm?

Isn’t it the other way around they haven’t chosen a contractor as they don’t have the finances to start the project.

Can’t see anything happening at least until March next year that’s if they don’t push it back yet again.

Time is never wasted when are earning from time passing. This non existent machine with no UL listing and no EU conformity now is rolling out in the States? And it being America where everything is bigger our little 40 ton a day machine is soon going to be 1000 ton, maybe a mega ton daily! Trip to Disney included? Aleksandra Binkowska CEO of HUI, commented:"I am delighted and excited to be embarking on a trip to explore possibilities for Hydrogen Utopia in the States, starting with the East Coast. I want to engage with private and institutional investors to present the opportunity, our technology and its implications for the clean energy market and North American continent as a whole. I believe that technologies such as ours should be rolled out at a massive scale in order to make a meaningful impact. There is no more time to waste"The Directors of the Company take responsibility for this statement.

No one GW ever built a DMG, could taken years find a company. Also maybe the lucky dip bag of components bought RS Components went missing and they be currently out of stock?Rumour that a local basher (sheet metal worker) had hurt his feelings and off on the sick extended period? Causation of yet more delays. Only solid news comes from that Youtube chap and his camera telling all about site progress. This is the only solid guide to overall progress. If there is no progress on site then there is no progress.

They’re still engineering the system Graham and in my experience that takes time, it’s just an engineering exercise - remember, this is based on existing proven technology that’s been around for years, it’s just being scaled up. I thought it was a great interview. In addition, the fact that selecting the construction partner has been slightly delayed explains why financial close has been pushed back a bit - it’s nothing sinister. In my opinion once the construction firm is signed up in the next couple of months, FC will come at around the same time. Could be October / November time maybe?
