Jarega - MV is in $ not pounds so that would translate as about £ 9.57 assuming no new shares are issued...

I also notice net debt will be capped at 3x ebitda...that is close to $1-2bn ( if you include the enlarged company)

We may just be in for news of a large acquisition shortly

Paysafe CEO Confident Will Continue Positive 1H Trend in 2H
2016-09-12 13:21:28.620 GMT

By Claudia Rach
(Bloomberg) -- Paysafe CEO Joel Leonoff expects low to mid-
double digit sales growth over 2H and ending 2016 with just
under $1b of sales, speaking in phone interview.

* Confirms low-double digit sales growth in 2017, expects to
maintain adj. Ebitda margin of ~30% in mid-term as its eyes
$6b market cap
* Says needs to focus on organic growth, sees no holes that
requires M&A at the moment
* Still on lookout for M&A targets for any of the 3 units;
geographical expansion would be one criteria
* Aims for deals of $1b/EU1b valuation, pursues those that
“make a difference”
* Says 3x net debt/Ebitda is the ceiling to finance
acquisitions, with aim to reduce it quickly
* Says dividends, share buybacks are options but sees at the
moment more value for shareholders in M&A
* Says money could be distributed to shareholders if no
good deals in sight, would be too expensive
* Plans to launch mobile wallet pay product in near term in
North America, followed by Europe shortly thereafter
* Sees “massive opportunity” going forward, expects it
to be disruptive as Paysafe charges only about half of
what competitors are
* NOTE: Co. sees 2016 rev. of $970m-$990m, adj. Ebitda of
$287m-$293m

DATA:

* Stock is up 16% YTD vs a 2.6% rise in the SXNP index
* Of 8 analyst ratings all rate buy, average PT of 530p

Rapid Transfer: Skrill boosts its instant banking option
September 8: Skrill, a Paysafe company, has launched a new brand for its instant banking solution: Rapid Transfer. Rapid Transfer allows consumers to upload funds to their digital wallet and make online payments instantly from their bank account without leaving a merchant’s website.

Available in the UK, Germany, Austria, Italy, France, Hungary and Spain with more than 100 banks, Rapid Transfer provides consumers with a payment option that has the convenience of traditional online banking and opens up a faster transaction method for online merchants.

Optimised for mobile, desktop and other devices, Rapid Transfer negates the need for multiple log-ins, offering consumers a seamless, quick and secure experience. Once Skrill has verified that the requested funds are available, the payment is confirmed to the merchant in real-time.

For merchants, the benefits include receiving payments instantly using Skrill’s banking network; higher sales conversion rates thanks to no customer registration required and a safe and secure payment method with easy integration mechanisms.

CEO Digital Wallets at Paysafe Lorenzo Pellegrino said: “Rapid Transfer is a fast, safe and convenient instant banking solution for consumers to move funds, and it provides merchants with an improved payment option with competitive conversion rates. It’s another way for merchants to offer consumers fast and effective payment choices.”

Pellegrino adds: “Instant payments are key in today’s digital world. Once the new Payment Services Directive is introduced in 2018, we’ll see more payment methods relying on access to bank accounts. Rapid Transfer, our instant banking solution, offers an immediate way for customers and merchants to solve this issue today.”

Wolf

Thank you very much for your informed post. I agree with your points and the potential that Pays has and you some some perspectives I had not thought about for example Samsung pay.
I was just concerned that I had missed an imminent corporate action which had been somehow announced and I had not picked up.
I am not sure what AEK is playing at, I wonder if they are sitting on on side of the fence (but working with another) keeping the price down whilst the other (s) buy in. If they are a pure short play then they either know something we don't or they have called it wrong.

I will let Trent speak for himself

From my perspective there are a few irons in the fire:

* potential to be re-rated : it is only a matter of time before on-line gambling and gaming ( fantasy sports) are approved and therefore gain Kudos and we get an inevitable re-rating as uncertainty fades.

* Potential for increased business as EH9 noted due to new payment wallet functionality soon to be released and possibly at same time as ios10

* Potential for a short squeeze could add upwards to 10% to the share price - AEK went in below 400p - as share price keeps rising they are hurting - a takeover attempt at say 650p - they would stand to lose close to £30mn on my math...ouch !!!!

* Cyber Security - the role PAYS can play as a real practical solution in the Cyber Security solutions adopted by many firms should not be under-estimated ; after all the area of cyber security you need to address as priority number one is .......payments !!!

* Potential for another large acquisition/merger.... PAYS could easily combine with a range of peers ( see Edison report) to further diversify their business model and reduce perceived risk of concentration in gambling/gaming....that could lead to a re-rating of the group and leverage PAYS up by 50%+

* Pays could go a Payment platform that is struggling to grab market share and has been rebuffed before....i.e. Ingenico, whose US sales have fallen off a cliff due to widespread adoption of chip and in in the US..... Ingenico need a new product to compliment their existing product line..... I could see this as a merger rather than a direct acquisition. Any approach of course might trigger advances from others i.e Wirecard, Worldpay etc.....

*Potential to be acquired - by someone like a Samsung who want to compete with Apple and need to steal a march on them.... Samsung Pay already exists but might want to be more....Asian firms tend to take very long term views in their investments and have the deep pockets and vested interest to transform their business model via verticals - i.e.create a virtual bank for the developing/emerging market via phone/tablet to overcome the lack of infrastructure that means 60-75% people in these areas don't have a bank account...... probably need Zuckerburg to deliver on satellite Broadband for Asia/Africa/ S America in tandem ...but a few yrs on... could be impressive

Post ARM acqn and the low PE of PAYS I think the potential for all of the above are quite high....and from the daily mail article I think so does Watts from Old mutual who has a huge holding in PAYS for the same reason...unusual for large funds like this to hold such a big concentrated position.

Sometimes smoke is enough to start a fire...PAYS is at that point where it could easily be acquired due to its MV relative to its profits.

Good links EH9 - keep um coming.

I suspect they are working on potential deals all the time - interesting times.

Eat or be eaten.

Either way, us shareholders should benefit.

I would like to see a dividend policy shored up a little though
