22 Oct 2019 · The Directors could form a new holding company to own 100% of the trading company and the property can be transferred to the new parent company. After completion the shareholders will own shares in the parent company and a Group is formed tax purposes. There are no personal tax liabilities.

Stock this is all new to me so I honestly haven't got a clue as to what could be going on. What the most fustrating thing is we are almost month since the suspension had not a whisper from BOD's It that how they treat shareholders, disgusting and very upsetting to say the least.

Before we begin, a Holding company is an incorporated company, just like any other operating company that has been incorporated. The main difference is that a Holdco doesn’t encompass active business activities (i.e. revenue for sales, expenses, payroll, etc.). It’s a company used mostly for tax-purposes.

Why do you need a Holding company? Here are some reasons:

Asset Protection

Whether you’re in a high-risk industry, or are just looking for some additional protection, inserting a Holdco into your business structure can help to add an extra layer of protection over your business. If you transfer non-essential or redundant assets out of your Opco to your Holdco (i.e. cash), if something were ever to happen to your business (Opco), these assets would be protected from creditors, since they are now sitting in the Holdco.

Qualified Small Business Shares

It’s every small business owner’s dream to one day utilize their lifetime capital gains exemption in the sale of their empire that they’ve grown. In order to utilize their gains exemption, the shares of the business they are selling must “qualify”;. Among many of the criteria that the business must meet, one of them is that in simple terms, they can’t have too much cash in the corporation. Holding companies allow you to transfer excess cash out of Opco in the form of an inter-company dividend (usually tax-free), to ensure that your shares of Opco remain qualified.

Tony did some more research on opco company’sbit could be that they are looking for a buyer if vat has been resolved but i dont see why antone would give themma good price when they know they’ee desperate or it could be lights off as you say no idea

I mentioned Amir's name as he had previous contact with him. If Amir could somehow make contact and act a intermedium or something like that. Tom will not want to talk to all of us. Just don't understand what is going on, is it lights off or something being done nobody knows except the BOD's.

Even though Stuart has said there is nothing sinister in them not answering calls i still think its strange not to answer any calls as its their office/ business landline unless they have all gone! Really have no idea whats going on

Morning,
I’ve tried to call this morning, with no reply. its not looking promising is it afraid guys.
I would suggest everyone invested, writes a letter to the FCA with there concerns.
They have misled the market imo and shareholders have lost a lot money.
Not acceptable, they need to make an example of these situations, and not just ignore them.

Follow the advice above.
Am sorry to inform you all MPM has been a scam for a quite a few years.
Just follow & read the RNS for this period.
Multiple shares issues at up to .15pence and the statements that accompanied them. A tissue of falsehoods, misrepresentations,opaqueness, and disinformation.
It should be investigated.
I have written to the FCA and other relevant authorities, and I suggest all those who have lost substantially like myself, do the same.
From respectable publications including the FT & other newspaper comments together with all the brokers who were similarly fooled. It should be investigated.
In the highly unlikely event it is 'requoted' in some shape or form; nothing can disguise the previous few years of downright dishonesty.
It should still be investigated.

Yes. Deeply upsetting. How certain are we that Amir has heard the VAT is resolved? The last RNS made it clear that was an issue that - if not sorted - would be terminal. I just can't see how it could be fixed but not announced to the market.
If it's resolved, there may be a glimmer of hope for us. If not, we need to look closely at the Allay deal.

Personally I don't think anyone has been Threatening to the company, maybe they are just keeping concerned shareholders away.. we should all be prepared for the worst case scenario that includes FCA.... Deeply upsetting imo.
