18/11/2019 08:19 | Yes, I am a bit worried Barnes4. I believed the story, as many others did. I still think it's compelling, but not sure what the future will be here. Stock: not sure about the VAT news. They would have to announce that before speaking to individuals. If VAT is what finishes them off, then it will be a massive shame for us private investors. But good on them & good for staff if they keep something going out of this mess. I'm sure the FCA will focus on the Allay deal. If Amir is right & VAT is already resolved, that's a very different matter. Fingers crossed for some news this week. | geoff_all
18/11/2019 07:43 | geoff PROPCO and OPCO deals can help the parent company benefit as financing and credit terms are independent of the operating company. In addition to loan independence, these types of deals can have tax advantages for the parent company. Although some may consider these types of deals tax loopholes, they are entirely legal and are generally considered the mark of an intelligent.. Parent company is mpm im just guessing but to me it looks good | stocktrend2
18/11/2019 07:39 | Rofl everywhere you look there is private ones worried about their savings | barnes4
18/11/2019 07:34 | Geoff not worried about vat im worried About a placing spoken to Amir he has confirmed to me Tom rios me vat resolved weeks ago working on placing.. i believe me now after contacting via twitter obviously you dont have to believe it also why start the opco company from the same address plus my call with the nomad on Fri .. tbh if it was going into admin they would have announced it. | stocktrend2
18/11/2019 07:28 | Appreciate your diligence with this, Stock. I'm not so sure this tells us anything though? It could just be the management preparing for the worst - as we should be doing. If VAT isn't resolved, they can't get a raise away. If they can't get a raise away, administration sounds pretty inevitable. They might be able to secure the jobs of at least some of the staff through a pre-pack. Better than liquidation? One thing is for sure: if this goes the wrong way for us, I'll be focussing a lot of attention on that Allay deal. | geoff_all
18/11/2019 00:45 | To me this is looking good ?? | stocktrend2

18/11/2019 00:25 | An Operating Company is in most cases owned by a parent Holding Company (HoldCo), in which the HoldCo owns 100% of the shares in the OpCo. The shares in the HoldCo are then 100% owned by an individual or broken up into many different individuals which become the shareholders. | stocktrend2
18/11/2019 00:22 | We know the new company is da vinci opco did some research on what opco is What Is an Opco? Opco is the abbreviation for "operating company," typically used when describing the primary operating company involved in an opco/propco deal. In some instances, the operating company spins off a subsidiary as a real estate investment trust (REIT) to gain tax advantages. The property company (propco) maintains ownership of all real estate and related debt, offering the opco advantage related to credit rating and financing issues. Opcos Explained An operating company/property company (opco/propco) deal is a business arrangement in which a subsidiary company (i.e., the property company) owns all of the revenue-generating properties instead of the main company (operating company). Opco/propco deals allow all financing and credit rating related issues for both companies to remain separate. Example of an Opco Casino companies often consider opco/propco restructuring create shareholder value and to streamline operations. The model for this is the 2013 restructuring of Penn National Gaming Inc. The casino company received permission from the U.S. Internal Revenue Service (IRS) to perform a tax-free spinoff of its properties into a new REIT. Making sense now guys?? Surely this looks good? | stocktrend2
17/11/2019 23:30 | I have been following this for a couple of weeks since the suspension. My average is around 5.25p, so this whole episode has been pretty painful to watch, particularly in slow-motion. I suspect the VAT issue isn't sorted, otherwise they would have had to announce it; despite rumours that it is resolved. From bitter experience, disputes with HMRC don't get resolved quickly... We know the company was running out of cash without the raise that was supposed to complete in October. Nobody in their right mind would participate in a placing with that VAT overhead. Not sure if we'll hear something this week - the BoD won't announce if there's nothing to announce. But without sounding too pessimistic, If we do hear something, I doubt it'll be good news. I'm going to move on, but good luck to everyone, and fingers crossed! | geoff_all

17/11/2019 20:39 | I still am worried about the 2 new companys A pre pack administration is where the assets of the company are marketed for sale prior to the business being put into administration. Then the assets and business are transferred to a new company and the old company is put into administration all in one legal move. Due to the controversial nature of this transaction, especially when the new company is run by many of the same directors, there are many rules and procedures that need to be followed as per the Insolvency Act 1986 and the Statements of Insolvency Practice ( SIP 16). This is to ensure that creditors are not left out of pocket. | stocktrend2
17/11/2019 20:13 | Im sure we will hear something either tomorrow or Tues | stocktrend2
17/11/2019 20:12 | Could be sold thats another possibility | stocktrend2
17/11/2019 18:57 | Also dont think they would start a new company straight away at the same address if it was going down this new co is in some way connected to all of this.
