The material point was, I believe, captured in the body HUR's RNS, viz.: To affirm their independence under the provisions of the Code, Dr David Jenkins and John van der Welle have relinquished, for nil consideration, the awards previously granted to them under Hurricane's non-executive director share option plan. The Company confirms that it does not plan to make share incentive awards to non-executive directors in the future. Dr Jenkins is currently acting as Interim Chairman and will therefore only be deemed independent upon appointment of the new Chairman. NED's independence might be compromised if they were 'incentivised' in a certain direction. The UK Corporate Governance Code says that companies subject to its code have to explain if a NED, inter alia, has received or receives additional remuneration from the company apart from a director’s fee, participates in the company’s share option or a performance-related pay scheme , or is a member of the company’s pension scheme; This may, I repeat may be one of the reasons former Chairman Rob Arnott 'walked'..... This includes compliance with the UK Corporate Governance Code, a standard not required of AIM-quoted companies, in line with its intent to apply for a premium listing of a recognised stock exchange.
