Which you objected to at the time.But in the time which has since past, they have added approx 100% capital Growth to the share price.I like that.If they do similar in the next 2 years,they can have another 6% of GVC as far as I'm concerned.Anyway, it's a moot point, because it's more about protecting the key board members in the event of a takeover.It will pass the EGM without a momentary thought. | festario | |

29/11/2017 10:55 | Grahamburn, IIRC a couple of years ago the company was diluted by 6% in rewards in a single year - certainly excessive in my view. Before that there were some unusual "incentives" such as nil cost options. However, I do not believe that excessive rewards will pass corporate governance compliance for entry to the FTSE100. I suspect that this EGM is an attempt to ensure entry to the FTSE100 can be made. Therefore, I suspect the new LTIP will be designed to be pass the reasonableness test. Are the generous incentives (eg up 400% albeit half in shares held for a period) really necessary to keep the team doing what they are already doing well? Or will they walk away into the sunset if they don't receive that level of incentive, especially as they already hold substantial numbers of shares so will benefit from their existing skin in the game? That's the point, as well as the now-much-publicised need for executives to be rewarded responsibly and reasonably. PS I am not arguing about the need to pay excellent people well, just the extent (with, IMO, flimsy supporting evidence) and the perception. | grahamburn | |

The company is doing well in the US, will do well in Russia and pay a good dividend, I for one accept people need paying well and will support it. | srpactive | |
29/11/2017 09:49 | Surprised there hasn't been any discussion of the resolutions scheduled for the forthcoming AGM. The supporting documentation indicates a substantial degree of excessive generosity to directors and staff (especially the former) in each of the incentive plans with insufficient details on the performance targets. The entire document's rationale is weakly supported by the continual repetition that the company has to retain key personnel. One cannot argue that certain individuals are, indeed, important to the company's success, but the question remains "Is there any other company in the sector that these individuals would realistically decamp to?" Unless that can be answered definitively, then the schemes do not pass the necessary tests for reasonableness, IMO, particularly in the current climate of questions on executive rewards. It may be true that the company's success relies on their expertise, but that expertise is specific to the company's profile and activities, so may not be in demand in other companies. | grahamburn | |
