Think most of the warrants are exercised, reckon there were 11m 3p warrants at Dec 20 and 10m have been exercised so far in 2021. But the annual report shows quite a chunk of 32.4m of the 101.9m share options (mostly 3p or 3.5p) issued prior to last summer’s award to the board are held by “consultants and others”. This will include senior staff. I’ve tried reconciling how much the consultants part is from previous announcements but have given up, it is however several million of them.

Thanks OT, good research. It doesn't say how many were warrants or options, or what the strike price is. 54M is quite a few if all warrants, but they won't last forever. 10M were issued this year I believe, and I couldn't find any others earlier.Let's hope we get another warrants RNS exercise this week, to explain the drop.

I personally don't think the recent appointment is related to any potential ESIA issue. This appointment would have been months in preparation and agree it's more likely to provide expert assistance to the longer term project. Why for example wasn't he appointed months ago when he would have had more time to assist in the ESIA?

Surely if there's a big issue with the ESIA then we'll get an RNS? So I'm treating silence as positive at this stage. I like to look on the positive side of things and feel at the moment approval is still just around the corner. The Mining licence went though apparently without a hitch so why would the Moroccans see it fit to put a possible spanner in the works now?

It refers to c.54M 'options and warrants' alongside the placing at 3p. Don't know if there is a previous RNS giving more details?

Interestingly I can't find any reference to warrants in any of the Emmerson placings since RTO/readmission in 2018. Has anyone else found anything? Were the warrants from the pre-RTO days?

I've dropped the company a line to ask.

Sloppyg, I tend to agree that it seems unlikely that "major issues" would suddenly crop up in the space of a few weeks. I suspect it's just local bureaucracy and Covid related delays. A couple of weeks after 2.5 years of preparation is hardly a massive delay - I don't suppose it was a hard deadline anyway, although the company maybe shouldn't have still kept pushing it as much.

I agree with sloppy - it's just too tight a timeline to go from all ok to panic appointment in a few weeks.

Tend to also think the appointment is far more likely linked to the "ongoing discussions with Strategic partners" (OCP).

24 June the ESIA is imminent and everything on track. 2 weeks later major issues and a new NED is appointed urgently to rectify things. Really ?....that would certainly require an RNS to clarify delays and problems encountered.

No problem however with differing views for balance (if no ulterior motives !)

I find that a bit contrived. (1) The resource is on the door step of Europe, so the commercial likelihood is that Europe is the main export market, (2) Political intervention in a listed company is not something to be done lightly, (3) if, however , that is the strategy then why are we not seeing more political intention in, say, lithium or cobalt projects which are essential for battery technology and where the Chinese are making a play for many of these assets, and finally, (4) Belarus will be a willing seller if Europe needs potash.

I'm more of the view that this situation arises when palms need greasing and the CEO doesn't have the requisite skills to navigate the situation.

I noted your point about the 3p warrants OT. It's certainly possible. The share price dropped substantially just about the time the last warrants were converted to shares, so could be the same this time. However we haven't had an RNS yet like we did on 1st June. If it is warrants being front-sold then I would expect an RNS today or tomorrow?Does anyone know how many 3p warrants are still left? If not then I will ask the company. It's always annoying when the spend money putting out an RNS (1st June) and don't give the total remaining figure!

Very narrow range of discussion permitted on this thread honeybee. I asked a genuine question about 3p warrants yesterday as a suggestion on what could be causing price weakness (these were issued basically on listing and there were a lot of them, and periodically get exercised and sold - last time was 1/6), but nobody replied.
Countless reasons why a holder of 3p warrants would want to cash some in of course, most nothing to do with the company itself. But nevertheless it's going to weight the price down in the absence of sufficient buying to counteract it.

Quite possibly Donald! The only thing I would say is that Emmerson is pretty small compared to the Belarus mines, so perhaps not strategic for the EU/Europe in the wider context?

My feeling is that he has been brought on board because following the realisation that Belorussia is a basket case dictatorship the EU sees it as a strategic requirement to secure a source of potash and would be willing to use one of its many strategic development funds to bring khemmiset into production but want someone they trust on the board to protect their interests. I could be wrong but that would make a lot of sense
