Fordtin - it's not a case of suggesting, it's a factual condition that they legally have to follow. Yes it is a stupid thing to include as it does create uncertainty but you appear to have ignored a vital interpretation which is - obviously the institutions have been consulted and have agreed the concept and the use of a 5 day average but are they the ones who wanted the minimum price included because they aren't selling below that and want the dividend in full instead - just a guess.
If the original idea was to set a minimum price then the criteria should have been along the lines of the higher of £8.90 or the 5 day average but as drafted it doesn't state that so it's technically very poor.

Erm, if I were short it really only matters WHEN I got short doesn't it regarding the dividend payment.

It's entirely possible that the fabled shorters who many seem to be obsessed with on this board, are short from a lot higher up, so, can in fact not bother about the dividend.

Shorters beginning to not fancy paying 87.5c/share on Thursday and subsequently watching the possible pre-tender recovery post XD, and so getting out before the crowd? Surely not!

scrwal - What you appear to be suggesting is that, in the event “the average market value per Share for the five Business Days immediately preceding 27 March 2024” is less than £8.90 Diversified will tell their investors the deal is off.

I really can't see the major shareholders (who were consulted prior to the tender offer being announced) being very chuffed about that!

I suggest that condition is intended to reassure shareholders they will be offered not less than £9.35 per tendered share.

Those shorted DEC at £9.35 or below are running like headless chickens as now there is no way DEC will drop below this Trnder Offer Price . Lots of buying today ( likely shorters are closing their positions rather than taking a heavier loss .

Tender Offer no less than £9.35 - therefore DEC has now a floor price of £9.35 and this is good for shareholders . You can see shorters that shorted DEC at and below £9.35 have to buy back otherwise their losses will increase . Shorters running for cover 😊 DEC might now bridge £10

Fordtin - I have never shorted anything in my entire life. I'm not interpreting anything as it is in black and white that the Tender Offer is conditional on several factors one of which is the Tender Price not being less than £9.35 which is a fact.
To imply otherwise is stupid.
