I am lead to believe that Brazil may well be coming online once again. This is far from a dead duck...just look at the assets for goodness sakes...some of their domain names alone are worth a bomb!

I believe summer officially ends towards then end of September but without looking it up I can't be sure exactly.

Interesting article 'Analyst'. It would not surprise me if OFCOM's paper became knowledge in certain circles before general publication.

i bought in at 1.44 p so reasonably happy here.with directors buying and what seems a pretty good buisness i can see a very good rise coming. the ofcom decision seems to be priced in to go against cltv so anything resembling a positive outcome will work wonders for the share price also i like the fact the ceo has taken to being very prudent in his forecasts which usually means they will come in well above expectations. at this price i felt it was worth a punt, i want 10p in 18 months, if it goes under or buyout then so be it but i think the cltv asia is a hidden gem and any slae of this will mean a nice bank balance for us and a re rated share price it's a 50/50 thing as to which way this will go but i reckon with the director buys it is more like 90/10 :)
the markets have been cruel to most shares recently especially if not generating cash and little liquidity, i can see a recovery to come after the ofcom decision , heres hoping

By the way, when does 'summer' end according to ofcom?

The ofcom decision was set to be made in 'the summer'

End of the month?

Just looks like they found someone to buy yesterday's 250k that were dumped at 0.5p. Nice little profit for the market makers, but not much to get excited about imo.

What is quite interesting, is that WINS have moved the nms up from 10,000 to 100,000 - they are on the bid, so are quite happy to take any sell orders out there at the full bid of 1p

god knows , unusual trades this morning, look like sells but the share price has risen so can only presume buys at 1.2p, a bargain. nice to see blue enspires a bit of confidence :)
ofcom decision soon, i expect an update from cltv after and if the news is good a rise to 4pish

What's going on here then?
Is management thinking of making the long awaited MBO?
I've never seen directors buying in such volumes without an MBO

timely3,

From the latest annual report:

"The public consultation process on proposals by the UK regulator Ofcom to tighten the regulation of television and radio programmes which rely on premium rate telephone services is due to be completed in the summer of 2008."

Any MBO will happen after the OFCOM decision.

FWIW - I believe there will be an MBO

the analyst,

I think you need to adjust your total for the fact that the SMS Media Ltd and Harkness Trading Ltd are duplicate holding declarations of the director holdings.

These are the percentages held by major shareholders.

Just looking at the percentages involved, any MBO would be a done deal should it be deemed acceptable to all on the list - they own 76.76% between them, there are really very few shares out there to be had

Mr Neil Craven 18.92%
SMS Media Ltd(dup) 14.14%
Atlas Group of Companies Ltd 11.45%
Harkness Trading Ltd(dup)8.86%
Andrew Karl Wilson 6.82%
Bertrand Pierre Folliet marker 6.82%
mTouche Technology Berhad 5.96%
Julian Braithwaite Paul marker 1.655%
Emmanuelle Erna Guicharnaud 1.301%
Michael Patrick Neville marker 0.828%

Total = 76.75%

With respect to a MBO, I'm sure you are correct - if they increase the stake they will have to make an offer. The directors paid 4p per shares last year, so that would be the minimum price, equating to £3m for the company.

I can see the potential for the company to be worth much more than 4p long-term if things progress well, but I also see many other opportunities in the market. So, I would accept a 4p offer right now, just to be able to spread my investment into a few other companies that look very attractive.

Blinkx are now on the acquisition trail, which is good to see

I wonder if any of the Cellcast P2P technology would be of interest to them?

Sans Souci, the analyst,

I can find next to nothing on the net about SMS Media Ltd... surely if they were an actual working business that offered products/services they would have a web presence advertising this fact (especially as they seem to be a tech company going by the 'Media' in the company name)...

... i think they are purely a shell set-up for things such as holding stakes in other companies... this is the only other reference i could find to SMS Media Ltd:

And it also concerns SMS Media Ltd holding a stake in another company...

I've had the same concerns, too.

I wish the directors could make the whole business more transparent, but maybe that's their intention.

I'd definitely consider increasing my stake, given the assets, but as it stands there is just too much I don't understand about the way the directors run the business or intend to run the business in the future. The AGM didn't really help me much in that respect.

I agree with others that the assets should be worth well over 10p per share in the long-term. Possibly 20p. But, as it stands, unless we get some decent news from ofcom, I'd off-load my shares if offered a decent price...
