I thought they might have Ramsden by the short and curlies Caplay PLC 03 August 2005 3rd August 2005 Contact: Patrick Claridge, Chief Executive Caplay PLC +44 207 759 8563 David Bick, Holborn +44 207 929 5599 Caplay PLC ('the Company') Shareholding in Private Treaty Systems Inc In August and September 2004, Caplay made convertible loans for a total of £1m in Private Treaty Market PLC, which is now part of Private Trading Systems Inc ('PTS'). PTS is a publicly traded securities trading platform that provides an order book matching system, same day settlement and account management facilities. Caplay has now entered into an agreement with Terry Ramsden, a shareholder in PTS, whereby the loans have been released in exchange for 4,375,000 shares in PTS which have been received by the Company. In the last three months, the shares of PTS have traded on the OTC market at between US$0.60 and US1.10. PTS announced on 26 July 2005 that it intends to file for an American Exchange (AMEX) listing in the near future. Caplay has also agreed to replace an option it held over 5% of PTS, exercisable in the event of a flotation or trade sale of PTS, with an option over 18,700,000 shares in PTS held by Mr Ramsden (approximately 5% of the ordinary share capital of PTS) which is exercisable for a period of one year from 2nd August 2005 at a price of US$0.40 per share. As part, and for the duration, of this agreement Mr Ramsden has an option to callback 50% of the granted option at a price of US$1.40. The underlying shares are being held to the Company's order with a firm of solicitors. As a consequence of these agreements, Caplay now holds, or has options over, 23,075,000 shares in PTS. On 26 July 2005, the Company announced that an option had been granted to Mr Ramsden, subject to certain conditions being met. These conditions have now been met, and the option agreement is now in place. I think we might see some real action now. | reg5 | |
