Allenbys have just called back, and they have taken advice, and although they don't speak to retail investors, have had confirmation that on this occasion, they can give me the details that under the rules, Sumit Rai is not considered to be a PDMR and any share dealings ARE NOT reportable for this individual by the way of any RNS. That will obviously be the same for Mo Valens. Personally, the message is very reassuring for me as that did have me worried. On another note, when I explained who I was and why I was asking during the pleasantries, a very positive and energetic reply of "It's very exciting times" was met with significant enthusiasm. Fair play in them returning my call.

Maybe they are happy with their stake pre joining, but you would think they would have taken part in the recent raise as 6p would have most likely been a lot lower than their initial stake.

I'd be more worried if SR/MV did not have a big stake. Whilst he might well have had to disclose his holding if it was acquired after he joined anything bought before he signed up is his own affair.

I have spoken to Allenby to ask why, and they advised that they are unable to discuss as I am a retail investor. The person did take my number, though, and advised that they would see if anyone could speak to me about my query and would call me back.

It was a big commitment to join company, and clearly Sumit did this with eyes wide open having disclosed that he followed the company for some time. Why would he not have bought significant share number just prior to joining payroll

I believe that special resolution 6 at the last AGM allows them to do so.



Resolution 5 allows them to allot shares. Up to the amount agreed - usually around 20-30% of mcap. I don't have the exact number.

Resolution 6 allows them to allot them without first offering them to existing holders.

So all pre-agreed AFAICS.

Also, it is my understanding that any new shares that are offered must be firstly offered to existing shareholders to enable them to maintain the same level of percentage of their holdings. Only then should the shares be offered to third parties. Was anyone offered this privilege?
