May not have gone belly up yet, but the clock is ticking.
But could there be a bid on the cheap now they are in financial trouble.
The only good news for shareholders is that it may not be a total loss now.

I am surprised that we have not seen the demented share derampers on this site as yet. Have they seen the light and given up deramping now.

I think it is now down to share holders to vote against the EGM to allow more time to see what this 2nd offer really means.
Directore are without a dout still going to carry on with EGM and push every thing through if they can but it depends on the vote.

At least i don't think the directors will be thinking about Christmas now they have this little problem to sort.

Will the EGM be blocked/stopped? seems to me the Company are trying to Squirm their way around this by saying they Haven't sufficient details for an alternative approach.

(the 'Company' or 'Bella Media')


The Company has received an email communication suggesting that a consortium of
investors wishes to make a formal alternative offer for the whole of the issued
share capital of the Company's operating subsidiary, Bella Media Inc, for a cash
consideration of US$800,000. It makes no reference to the provision for dealing
with the bank and other guarantees given in relation to Bella Media Inc.


The board and its advisers are seeking clarification on this approach (including
clarification on who the Offerors may be) with a view to establishing whether a
firm offer will be made prior to the Extraordinary General Meeting of the
Company on 28 December 2007.

MALC5 it may they are doing some hurried evaluation of CT's offer and possibly appraising the implications. Assuming that is the case and I personaly hope it is, then in my opinion the shutters are down until they come up with a reasonable answer. They will clearly know (the management that is) that CT will have a number of us on board so that isalso a consideration they must think of.

It was so obvious that this company was going to be a goldmine ,Monterey site is full of £$££$$S,DIRECTORS HERE have tried to steal Bella from shareholders and almost got away with it !this company has been cleverly manipulated to a lower price but has been i think almost stopped now as CITY TOURIST knows the offer is on the table now ,my 3p a share could be seen now that is all hotting up again here .
watch the price in the morning now ,i think it could well exceed the offer price of 1 million bucks.

If City Tourist has made a formal approach, the company can't ignore it, and I would suspect that this will influence events in the next few working days. However, I am not sure where this leaves shareholders. I make two predictions, the first that the shares will be suspended on or before 28th December, the second that City Tourist will not pursue his offer once he has seen the books. In any event, the dealy is likely to derail the polacing and, if City Tourist's offer does go through, the shares are worth about 0.01p, if they are ever requoted.

Even at this late stage, and given the directors have so far ignored any third party offer, would it not be the case in the event of the third party making an offer at the egm, in front of all those present, that the board of BLL would have to 'by law'? stop the proposed mbo in light of another offer.

Surely if it is proven, of which it now can be, that a third party is offering a far better package to the shareholders of bll, then they are duty bound to pursue this avenue.

If they then turn round and state that the offer was too late, not in the shareholders interest, or the full details were not received, then surely that would be breaking the rules/law? of being an aim company.

For the record I am not now a share holder but I do wish all of you that are my sincere best wishes in taking the developement away from those robbing, cheating directors that they are.

Hi All, The offer from City tourist looks good, I would think if he is being ignored by the company then he must register his offer officially with a third party like AIM or something, otherwise the company are likely to say they never recieved such an offer.

twix386 it seems to me city tourist knows what he is doing and i'm sure he knows what he needs to do on the legal side if he has got this far and he has had people already over to value the complex in USA.

Once again even if i lose my money i don't care if you cause as many problems for the directors as you can i'm happy.

As well as doing such a splendid job so far, don't you think it prudent to hire a solicitor or legal entity to serve papers or whatever to ensure you get a reply, as BLL management etc are clearly not taking you seriously.

They are all just ignoring you and your timelines are running short!

Hi Guys

Firstly thank you for the support which you have shown during our campaign, I would especially like to thank energiser for his assistance. I can assure you that unlike the activities of our Executive Board members. We the "Consortium" have made an offer which is transparent, and better reflects the investment that the shareholders have put into the Monterey project.

Further, if successful we will seek to ensure that all existing shareholders of Bella Media are given the opportunity to participate fully in the further development of the Monterey site. In accordance with the statement issued to the Board of Directors, the formal offer to acquire the entire issued share capital of Bella Media Inc., is made on similar terms, but providing shareholders with a substantially better capital return on the asset value assessed for the business.

The following letter of offer has been issued to the Company Secretary at Bella Media. Those that registered their details at Merlotpub@aol.com should have already received a copy.........In accordance with the contents of the statement issued, .... the letter is as follows.

Dear Sir

I would refer to all my correspondence to your office with regard to Bella Media. Specifically I would refer to my letter dated 29/11/2007. In that letter I raised my concerns regarding the proposed MBO, I stated that shareholders may well consider an alternative offer, and I requested full sale particulars. You have to date failed to provide any of the requested particulars. Through the offices of ArcNI I have requested information from Beaumont Cornish the Nominated advisors, they have to date failed to respond. I have also through the Office of ArcNI requested information directly from Mr Richard Armstrong at Fiske Plc, who along side Mr Antony Legge, is being nominated for a position on the Board of Bella Media. To date Mr Armstrong, and Fiske Plc,. have regrettably, failed to respond.

Given the absence of any response to my specific requests for information, from either the Nominated Brokers Fiske Plc,. The Nominated Advisors Beaumont Cornish Plc,. yourself, as Company Secretary, and the proposed director Mr Richard Armstrong, I have continued to research the present Board members, and their association with various companies which other present, and proposed, board members are directly connected. In the light of information now received, a number of existing shareholders have formed a working "Consortium".

I can now inform you that this Consortium of existing Shareholders in the Company Bella Media, having examined the document released by way of RNS 259 J. wish to inform you that we would like to make a formal offer to acquire the entire issued share capital of Bella Media Inc., for a cash consideration of $800,000.00. In making this offer the following is recognised.

That the Board at Bella Media and its nominated Advisors Beaumont Cornish have formally and publicly declared that the offer of $650,000 as presented by the Executive Board Members Fred Weinert and Stephen Crisman is "fair and reasonable" and is in the "best interests" of shareholders.

Having considered this statement by the Board and its Nominated Advisors with regard to the offer now publicly deemed acceptable, we believe that the interests of shareholders are better served by the offer made by the "Consortium" which is substantially higher than that from the Executive Board Members.

I am further in a position to inform you that as of 10.00 am this morning initial funds in excess of $1.000,000.00 to enable our offer to be recognised as formal have been placed on Deposit at Northern Banking Group.

I am now asking that you formally acknowledge the offer from the Consortium, and make available to us all current financial documentation on Bella Media Inc, also all published financial documentation over the previous three years.

Upon receipt of your confirmation of this offer we can supply you with full details. A public announcement will be made shortly, confirmation of the offer will be sent to the regulation dept at the AIM. The Shareholder Register was applied for some fourteen days ago, however as of today has not been made available to us. Upon receipt of same we will contact the names listed and issue full details of the offer.

A notice of offer will also be posted on the relevant Bulletin Boards to alert existing shareholders. I look forward to your reply and confirmation of our offer.

I know they will be paying 1.35 and we can get a few at 1.2 just if you try and get a large lot you would have to pay more.
I'm just bitter the way they have done this. why are share holders going to bother to vote. New directors already in place as you can see from lates RN Consoladation already sorted and new shares been given out. Just all smacks with me and why did price fall so much last week because that was the price they offered so that was the price the company is worth.
I am so dissapointed that directors win again. P'is loose.
