Previous AGM:

The AGM votes were conducted by a show of hands and all resolutions were voted through on that basis, with a representative from Computershare present in the room counting the votes. All resolutions were carried unanimously, with no dissenting votes. There was therefore no requirement to rely on the proxy votes, which is what has been published before.

While the company encouraged shareholders to cast their proxy votes, it is prescribed in the company’s articles that General Meeting voting may take place by a show of hands or proxy. As all the resolutions voted for proxy were carried, with 90% or more in favour, it was decided a voting by show of hands was appropriate. This was agreed by the board and by Computershare.

Wonder if they have agreed that as well this year.

Expert Chris Temple shared three factors he thinks will push the gold price higher.

The gold price continued to spend time below US$2,000 per ounce this week as market watchers wait for the latest move from the US Federal Reserve. At the time of this writing on Friday (June 9), the yellow metal was sitting around US$1,960.

The Fed will meet next week from June 13 to 14, and the question of whether it will hike again or pause continues to make headlines. Market participants will have to wait and see, although it's worth noting that the Bank of Canada raised its overnight rate by 25 basis points on Wednesday (June 7). The increase was the first since the Canadian central bank's January pause.

While gold's short-term outlook is tricky to gauge, many experts have a positive long-term view. Chris Temple of the National Investor recently shared the three factors he thinks need to happen for the price to rise, with the first being a pivot from the Fed — and by that he means a true pivot, not a pause, which may or may not happen next week.

The second ingredient is that the economy needs to be bogged down more as the Fed pivots and starts printing money; the third is that other avenues for investors must be closed off — in other words, distractions need to be removed.

"You need to see those three things," he emphasized. "I think they're coming, (but) they're not going to all come on the same day or the same week. And I think we're talking months rather than years before we see that."

QCA codeI wonder if AAU follow this?"The disclosures set out after each principle of the OCA Code indicate the areas that companies need to address in their reporting on corporate governance. The way these areas are addressed should reflect how the company has applied the principles and must be tailored to the company's circumstances; you must address each of the indicated disclosures or provide a clear and well-reasoned explanation for not so doing. The correct application of the QCA Code requires that the chair of the board (the chair) provides a clear explanation as to how the QCA Code has been applied.

That is good zangdook. A great set of principles to judge Ariana's performance against. I wonder if the Co. Directors have ever studied this? Seems unlikely to me.Thanks for sharing. Most interesting.Every director of every Co should be given a copy. I know i wasn't.

This might be of interest to people framing questions:

Corporate Governance

"The Board has adopted the latest version of the QCA Corporate Governance Code (2018) (“QCA Code”) and strives to follow the 10 principles outlined within it"

If you google the QCA code, the QCA want £85 to let you have a pdf. £85! What's the point of having companies sign up to a code if the code itself is inaccessible to shareholders? Fortunately some public-spirited person has put it up here:

Hope everyone has got their questions in for Investor Meet Co. Monday 12.30. Will we get an RNS Monday morning to pre-empt some of the questions? Hoping for a frank event with some better clarity on direction and timing. Don't forget to vote on the AGM resolutions as well. That is even more important. Hargreaves Lansdown now provide an easy online voting facility. Good luck

Interesting article on the working of the China gold exchange, and how the yuan can be exchanged for gold currently.

Although it states that the yuan being used as "the reserve currency of the world" is some way off, it's obvious reading between the lines that eventually it will be, and it will be the only currency totally backed by gold.

China's central bank continues to buy large quantites of the metal and they also mine it locally too.

An approx 2 minute read:-

BB the 5% is for private companies under certain circumstances per the companies Act 2006.
xow99 is spot on from the sections under Companies Act 2006.
If any one wants to confirm any of this for themselves just look up Companies Act 2006 sections 302 - 306. The other place would be the company governance document the Articles of Association (A of A) filed on incorporation at Companies House and any changes filed subsequently.
I have only added to my relatively small holding particularly in the past few years.
Not been too worried as long as somebody like yourself continues to build a substantial stake. The confidence would be improved by just having small token interim dividend say 0.1p for 2023 year with half year interim results due around September 2023 or earlier.
The company is profitable and believe the earning per share were 0.36p for 2022. This would send a clear signal to the market of future stable earnings.
I got the feeling in one of his interviews K S was kicking regular dividends into the long grass and advocating more special dividends as and when projects matured/disposed off.
BB may your confidence continues and all comes good for you. If you are going up to 10% you better get cracking. I am going back to my slumber for another few years, just wake me up when this gets to 10p. That's when it will get interesting as far I am concerned. I was buying this at 5p and all the way down and been adding a small trickle at these even lower unexpected levels.

Shareholders. Company shareholders can make a request to the directors for a general meeting to be held. Company directors must call a general meeting if they receive such a request from: shareholders representing at least 5% of the company's paid-up share capital, who have the right to vote at a general meeting.

Extraordinary General Meetings

An Extraordinary General Meeting (EGM) is any meeting other than an Annual General Meeting (AGM). The directors may call general meetings when they wish (CA 2006, sec302) andmust call a meeting of members holding one-tenth of the voting shares or one-tenth of the voting rights request one (sec303 - sec304). If the directors do not call a meeting when so required, the members can call one themselves (sec305). If all else fails, the court can call a meeting (sec306).

I agree Biggles, but them knowing you now have the power if you need to use it will hopefully be sufficient to engender a change of attitude and focus towards shareholders. These next two events will be interesting to see if we can detect a change of heart.I believe Chris Sangster is in part aligned with the importance at all times of shareholders but the others are lead/controlled by KS.
