BB @6560 Can you explain further as I don't understand the context?

It's an interesting theory but AAU consider Venus to be a better proposition than CHF as they have a resource and some excellent prospects. CHF has a good team but as of yet is a risk and KS won't spend significant money on such a risk when the consider they have an existing superior asset within their portfolio. I hope the tax advantages referred to are not are not those of giving more time for individuals moving from one investment vehicle to a more tax effective investment ie to isa or pension. Personal taxation should not dictate corporate policy. I haven't heard the wording so can't comment. If it's corporate tax advantages fine but what are they , why weren't they explained and if known why not explained earlier? Again the company needs to improve its communication. I do need to know why 50% of deal relates to 0.7p.

Have to agree market cap is not of interest when dilution is involved because it does help the owners of the company ie the shareholders .

Today just exemplifies why I ceased investing here a good while back.
Just what the future dividend outlook/strategy will be in years to come with Ozaltin calling the shots (excluding the stand alone projects)is pure guess work and for me best left alone. Maybe further down the line but not at this moment.

John don't you think that is where a good brokers note might be necessary to help shareholders and potential shareholders understand. Trouble is he has no intention of pressing PG and why he totally skipped the question today.
If you find it difficult, what chance has any new shareholder got.

As JAF says, totally indifferent.

Oh and apparently we are up to 37.5% of Venus now.

Charles I know you are right, but I really thought this time might be different.
In all the many references to the divvy over the last 18months, which we have had dangled in front of us like some shiny bauble or tasty carrot, has the paying of tranches ever been mentioned.
Unforgivable really on the face of it.

Possible they didn't realise the tax implications until more recently, I doubt there was any intention to mislead.

I honestly feel indifferent about the approach to the div. If they are holding back more than people expected for WC and to fund and develop new and existing opportunities then that's ok with me.

What I do find difficult is with so many projects on the go, it is difficult to understand the context/materiality of each, development and commercial milestones, expected timelines and how the market can go about assigning current and potential future values. Certainly not a company that is easy for a layman or new investor to understand (and most recent presentation on website is November 2019).

Soul - you didn't really expect to receive what you thought was promised, did you? Just look at all the previous evidence and you should have known that shareholders are ALWAYS disappointed. Biggles seems happy enough right now but the director bonus round is almost upon us and he might not be as cheerful when the director's cut is unveiled

Not sure about a cash shell. A simple response would have ended the discussion.

100% Portswood Resources (British Virgin Isles)

Soul,

'today I lost more trust in the company'. That sums up my feelings perfectly. I managed to catch the last ten minutes of the meeting and to me Kerim came over as almost indifferent in the image he is making for this company. For example, in over a year and a half, how could they not manage to say that the dividend, like Gaul, would be divided into three parts (for people who didn't learn latin at school, see the first line of Caesar's Gallic Wars Part 1).

Ariana will do well over the next few years but it is no longer the company that I invested in at the start. I will keep an investment in here but nothing like the amount I have today.

So the promised almost 50% of the deal in Special Dividends now becomes 37% and this being spread over a period of a year or more.Trust...what trust.

Endless possibilities with this company, accompanied by never ending small fluctuations in the share price. Management, do please keep up the good work of creating confusion amongst the retail investors ! I shouldn't really laugh as I have a small holding here.

So out of the 27m sterling from the transactions:-

3.6m to be paid sometime in q3 (so between now and 30th Sept)
1.8m to be paid 6 months after (so between 20th Jan and 30th Mar 22)
and
1.8m to be paid IF it gets passed at 'next years' AGM.

SO the question is what exactly is happening with the other money? If this is invested right they will have made most of that final tranche in interest payments.

Look forward to the next 10yrs, I doubt most of us will still be left holding then. I have been here most of the 15yrs already and today I lost more trust in the company.

Possible the cash remains in some kind of shell company in Turkey to be tax compliant.

Not sure how tax advantages in Turkey impact on the divestment as KS confirmed proceeds have been received in full (other than satellite sales). One would assume earlier of agreement signature date or funds receipt would trigger a taxable transaction.

No response to the 0.7p question. Responding to the PR question they said they communicate quickly and fully via RNS, but that is a statutory requirement, promotion is a different thing. Not explaining the tax advantages, even briefly, nor explaining the 0.7p is not full communication.

if there is a staged (for the tax reasons) assets transfer how come did they get the cash already? - they probably did not get all the cash

he answered most of my Qs - in a straight fashion. good job and thank you.

Asgard was there already - they are just using it.
JV divis are not guaranteed as AAU has not definite guaranty to be paid the divi - as it depends on voting. But in normal world that is a goal for all.

JV squeeze out - JDV mentioned some legal assurances - but that was all. In time when all is great (lets say in 5 years) there is no need for further AAU involvement (eg - service fees to AAU) - hence the Q. Also divi can be voted. And transfer prices do exist I heard.

Relates to divestment of assets, must be some kind of tiered tax structure. They were quite matter of fact about it, and noted that they don't take any decisions lightly so IMO the approach was well thought out and for the best for the company and its shareholders.
