The share price should have been defended before it ever got to 12p “total mismanagement of the company” why was this allowed to happen? it does make you wonder. Then to suggest that securing 19.2p sale is an achievement, well it certainly is, but not for share holders, only the buyer.

They don't have to make any statement. Their offer was too low and therefore not considered. They took part in the bid process and they obviously were not prepared to increase their initial proposed offer of 17p.

M&P took part in the formal process though

Lessons For AIM E&P Management/Investors

Objective 1 - Project your Share Price, Protect Your Share Price, Protect Your Share Price

Useless cash piles don't count for squat - DEPLOY IN BUYBACKS WHEN YOUR share price IS DIRT CHEAP OTHERWISE OTHER FIRMS WILL BENEFIT AT THE EXPENSE OF YOUR SUFFERING SHAREHOLDERS!!!!
LEVER UP WITHIN REASONABLE LIMITS - BUY BACK SHARES RATHER THAN PAY DIVIDENDS - PROGRESS TO DIVIDENDS LATER IN GROWTH STAGE.
VOLUMES ARE LOW - AND INVESTORS WILL BE BETTER SERVED BY THIS MODEL
A Clear Comparison of Good Management for an AIM E&P - ELAND OIL, ROCKROSE etc (Undertook Buybacks while growing business) vs AMERISUR, OPHIR & their pathetic muppet misleading boards/management....

M&P will have to make a statement probably next week to say whether or not they are considering a counter bid. In all likelihood if M&P do make a firm offer it will be a mixture of cash and shares. This wasn't what the board were looking for but it could still send AMER shares above 19p and may only need 50% acceptances not 75%. On the other hand M&P might just announce no intention to make a firm offer which then completely rules them out. However they could have done this weeks ago once the board announced they were looking for an all-cash deal. I am talking myself into thinking M&P will stay in the game by expressing interest in counter-bidding until they have to put up or shut up - it doesn't cost them anything. If I'm right it could be a good selling opportunity.

Not the case that they are being sold for way more than they raised from shareholders.

...I've seen 4 fundraisings from shareholders..... raising considerably less than the value placed on the company by GPRK

If I've missed a fundraing, my apologies

Should have bought back shares - didn't do - dawdled on a dividend.

No care for the investors - absolutely useless/incompetent CFO to boot with unclear / hazy financials.

Should be investigated - probably a bunch of corrupt dealings will be unearthed!!!

HARDLY EVER MET A DRILL DEADLINE- FAILED MISERABLY THE 4 YEARS I WAS INVESTED IN AMERISUR - GEOPARK HAS 75% of Production in Colombia and Share Price up 7x in 4 years.
Whereas Amerisur has gone backwards - no excuses for Wardle, Clarke and this absolutely useless muppet clueless misleading possibly self-dealing / crooked management.
Worst of the worst - compare to Eland & Rockrose - Amerisur belongs in the Ophir & Alan Booth camp - absolute garbage management!!!
What took them so long to finalise this useless offer - Should be investigated for telling us to hold to our shares - I COULD HAVE SOLD FOR HIGHER THAN CURRENT share price I SHOULD SUE!!!!

Not the case that they are being sold for way more than they raised from shareholders. Check out the Share Premium / Equity value on balance sheet - and taking into account cash on book.
Also lets compare to FTSE E&P Index, or even fixed bank deposit - Wardle has been CEO for 13 years plus and his share price performance has been beyond pathetic.

THE CEO BOUGHT SHARES AT 17.516p in Jan 2019 - AS HE STATED THEY WERE UNDERVALUED - IS a 9.6% increase from his purchase of shares which he was of the view are undervalued - A REMOTELY SATISFACTORY OUTCOME FOR INVESTORS - PROOF IS IN THE PUDDING.

THIS MANAGEMENT HAS FAILED ONE FINAL TIME - ONE FINAL DAGGER IN THE HEARTS OF INVESTORS WITH THIS DERISORY SELL OUT PRICE!!!

You have to wonder if Rex was actually tipped off to this strategy as his selling doesn't now seem quite so stupid........

Shareholders, looking at the broader picture, are well ahead..... sale value seems well ahead of money raised..... unless I've missed a placing somewhere (saw 3 in a quick trawl earlier)

Back In January 2017 Amerisur has 1.2b shares and MK of about 300m so in 3 years the board have managed to lose 50m by their ambitious and careful stuardship of the company.Hardly a stellar performance but I'm sure they will do well from the sale.In reality the value has been constant since Nov 2017 but on the bright side, at least shareholders get some if not all their cash back.

I'm with you. Logically, if less than 75% accept, then the price will rise until they do.

This looks like a very good deal for GeoPark

James F. Park, Chief Executive Officer of GeoPark, commented: “A consistent pillar of GeoPark’s long-term value proposition has been and will continue to be inorganic growth, including M&A and block acquisitions. We congratulate the Amerisur team for building a strong growing business which represents an excellent technical, economic and strategic fit with GeoPark’s risk-balanced portfolio of cashflow-generating assets with significant upside potential across Latin America. Amerisur’s asset base in Putumayo will provide GeoPark with access to an underexplored high potential basin, as part of our larger MaraƱon-Oriente-Putumayo strategy in the region and with an operating export pipeline. Additionally, with the incorporation of the CPO-5 block, operated by our strategic partner ONGC, and adjacent to our prized Llanos 34 block and nearby recently awarded exploration blocks, GeoPark would now have a contiguous land position of more than one million gross acres in one of the most productive areas of the Llanos basin in Colombia, containing multiple development and exploration opportunities. GeoPark’s most powerful value creation tool has been its successful track record of finding oil and gas - and this new high-impact acreage represents an exciting and expanded growth fairway for us.”

As a small holder here I would rather the "growth fairway" was still ours.

Shareholders seem to be ahead, setting cash the company has raised from shareholders against the sale value of the company announced today
