My thoughts are these
To keep the company going they have gone through the back door to raise capital.
The company who has provided these funds will reverse a company into it.
Hence the change of directors.
The 25% shareholding will be used to vote everything through.

Somethings a foot,had to buy in five separate lots before last rise.
But could sell easily.
Clean shell and few shares in free float should see some fireworks here early May.

Five bag at least initially,will be a scramble for available shares.
Looks like they got a couple of heavy hitters to boot.

Admission doc could precede a change of name.

the suspension imo is good news as we know our starting postion now.
the new shares come into play around 1st may . at which time percy stands down and half of the dead wood leave . allowing buisness to be done!!!!!

We are pending an admission document - that is the real meat on the bones..

The shares issued for the portfolio are to get around the shares issued for cash - which was blocked at the EGM.

Even though Planwise will have 25% of the capital I doubt they will be able to vote at the forthcoming EGM as they would be effectively a related party, so P Johnson and associates would still have the casting votes.

So after all this time they come out with a £150k transaction and no real detail as to what this comprises for circa 25% of the enlarged share capital, not sure that you haven't been strung along here Kenny. I hope that this comes good for you folks but they certainly need to get some more meat on the bones and a substantive increase in assets, as the current assets and their planned disposal for cash of presumably the declared £150k would not justify the nomad signing off on a return to market, so who knows perhaps there is something more to substantive to come?

More questions than answers,

Unless I am wrong we have no EGM here and they are going to issue 155m shares?

The max they can issue is 22m

1st RNS says pending an admission document, second RNS states early stages of transaction..

Its one or the other!!

Mr.Dross..........an "impi" is a Zula army and it is certainly not a term we would use for ADI !. :-) Seriously I am not in the least surprised to see PL still at the head of the helm.

A way forward for ADI though and as you say "survival ".
