It's not quite as simple as saying there was overwhelming support from Perk shareholders. Although virtually 100% of those voting voted in favour, there weren't many more voting than had already been promised in the circular.

At the time the deal was announced, they already had 39% secured (BoD, senior management, AVG Ventures). Then by the time the circular was published this had risen to 56%, or 10.9m shares.

Today, 12.6m shares were voted in favour which would have taken them to about 65% of the shares in circulation.

So another way of looking at it is that apart from the main shareholders (who were big enough to be approached directly ahead of the publication of the circular) there actually seemed to be a lot of apathy towards the deal, or perhaps a feeling among the smaller shareholders that their votes didn't really matter because of the 56% already secured.

It might be interesting to speculate what would happen with an R1 vote if it were announced that R1 had agreed a takeover at a smallish premium to the then-current share price and Toscafund, RG and 1 or 2 other big shareholders had already agreed to support the deal.

some fascinating links to the Alphaville article on Ve Interactive Sikh, unfortunately for them they are 5 years too late to the party. A $1Bn valuation, lol!

Alphaville have written a series of articles on them, growing more and more sceptical each time

But the unkindest cut of all - they did an article in November with comparative valuations of 17 ad-tech companies, Rhythmone isn't even mentioned!

We all can smell something fishy..... but what is it? Is it the most prolific poster who only has a punt on Rhythmone? Or Is it BlackRock? Or Is it RG and Tosca? Or Is it the hairdressers and scaffolders buying small lots to manipulate the shareprice? Or is it Nanny in her nursing home?
