NH Future investment strategy more effectively targeted to maximise shareholder returns Decision taken to focus on Jolly Ranch and exit all other current projects Nighthawk, the US focused oil development and production company (AIM: HAWK and OTCQX: NHEGY), announces the results of a strategic review initiated by the Board following a number of management changes, including the appointment of Tim Heeley as Chief Executive in September 2010. Highlights - Nighthawk will focus on Jolly Ranch and exit all other current projects to ensure capital is targeted effectively to maximise upside for shareholder value - This strategy, together with a number of ongoing central cost reductions, will enable Nighthawk to lower the rate of cash burn significantly and to focus on asset value delivery NH To date, approximately US$39 million has been invested by the Company in the Revere projects in Kansas and Missouri against a revenue contribution of just US$1.5 million, net to Nighthawk; this represents a revenue return on capital of approximately 4%, significantly below an acceptable level. NH Therefore the Board has decided to assign the Company's interests in the Revere projects to the operator, Running Foxes Petroleum Inc., with effect from 1 January 2011. Thereafter, Nighthawk will no longer have any future capital liability on the project. NH The board of directors of Nighthawk, the US focused hydrocarbon production and development company, is pleased to advise of action that has been taken and is continuing in response to persistent defamatory and untrue postings on the Interactive Investor Trading Limited ("iii") and ADVFN plc ("ADVFN") bulletin boards. The postings concern the operations of Nighthawk and its management which the board considers to be extremely damaging to the Company and its reputation. The Company took steps to identify the posters who try to escape liability for their defamatory postings by hiding behind a cloak of anonymity, using anonymous email, social networking or bulletin board accounts to disseminate those postings. In some cases the names and other details used to register these accounts are fictitious and posters also can try and cover their tracks using numerous pseudonyms but they can be traced through their IP addresses. The operators of the bulletin board services can be prevented by confidentiality and data protection laws from disclosing the names and other personal information associated with the accounts. However, the English Courts can exercise their discretion and order such disclosure, provided certain criteria are met. NH In the High Court of Justice on 28 June 2010 Nighthawk obtained a Norwich Pharmacal order instructing iii and ADVFN to provide information in respect of various posters, who were posting material that the Court accepted could be defamatory. Both iii and ADVFN are assisting the Company with providing the relevant information including details of the posters. The identities of various individuals behind these postings have now been established and the Company and its directors are now considering with their legal advisers instituting civil proceedings against them for defamation. The 'you know who' have the bought the patent rights ( nice and cheap ) from HML and will now go on to pocket any returns from the property rights of any successful outsourcing of vaccines of which the private investors originally contributed their hard earned. I am told that they set up a new company even before HML was in administration. Maybe its all gone but I am hoping for two things. AK and IP having to watch their backs all of their lives as some former shareholders are still very angry. Also the two forementioned ba*tards do not live to enjoy their ill gotten gains. 13/11/2010 14:14 | People invested in this company and lots went on to re-invest on the information supplied by the company directors via rns's to the general public. The validity of these statements issued and the actual facts of events taking place would need proof that any deception towards PI's was taking place. In other words,can it be proved the directors withheld information pertaining to events that could effect the demise of the company and its private shareholders. The whole episode, and the company accounts of HML would need to be thoroughly scrutinised by an independent qualified body and presented to both the administrator and companies house. All IMO and not meant as an accusation against parties concerned. FWW, I sold out prior to administration of the company and moved on, but, nay forgotten nor forgiven those involved in my financial loss. 3d | 3doogle | |
