i think you have to also look @ the overall picture, on AIM. There are not many bids for companies , but rather they have chosen the delisting option. What i have done is to research what type of companies are looking to delist, and avoiding them @ all cost. What this does, is that it gives you a branch of AIM companies of less quality, and those that look cheap chosing the delisting route.

The longer picture is different, that is why one of the key things to look for, an obvious statement is management.

The buy today is impressive, but what does it mean in the overall context of things.

I noticed that trade too, thing is he did this before at a much higher
price then shortly after they issued a cautious statement/profits warning,
whichever way you want to look at it and the price tanked so i'm nervous
about getting involved again and now there is only 2 mm's so that almost
makes it impossible to buy and sell unless the mm's are in a good mood.

Buy for Bid hope or avoid !

well, he has bought @ a premium.. a bit of a gamble as to what the motives are, in normal circumstances, i would say this is pretty good overall...

They are continuing the rapid race to 29.9% each. Now 22.4% for the Chairman and 24.9% for the CEO totalling 47.3%.

Hopefully, once they have reached 29.9% each on the cheap they will do the honourable thing and make a proper offer for the remaining 40.2% of the shares.

"Clipper Ventures announces that it has been notified that Sir Robin Knox-Johnston, Chairman of the Company, today purchased 1,593,762 Ordinary Shares in the Company at a price of 5 pence per share. Following this transaction, Sir Robin Knox-Johnston's total beneficial interest in the Company is 8,716,998 Ordinary Shares, representing 22.4% of the total issued share capital of the Company."

Thks. Was having a senior moment but I think I get it now...

1) The Parent sells £(460k) of net assets for essentially zero and so books a £460k uplift to its unconsolidated Balance Sheet.
2) The Parent simultaneously writes off the outstanding £460k loan asset on its unconsolidated Balance Sheet and so books a £460k drop.

Net effect is zero.

Does that sound right ?

If they've got out of Zapcat without impacting the total NAV very much then I'm very happy with the deal.

Afternoon Des,

The NAV at 30 April 2008 was £(460)k (i.e. net liabilities). I assume that the £453k of intercompany balance was waived making the NAV roughly nil.

As it has very limited external assets and liabilities it should have little impact on the consolidated balance sheet.

In the year ended 30 April 2008, Zapcat Racing lost £75k of turnover of £208k.

Rather more importantly it owed £450k to CLV. I am expecting that this money has not been recovered so in total CLV will have lost around £450k from this venture plus any losses from 1 May 2008 to disposal. Probably good to be shot of a loss making business in the current climate as the investment required to fund losses was probably just going to increase.

This should not impact the consolidated accounts as this £450k is just the rolled up losses that arose over the years (Zapcat had no substantial assets) and has already been reported (other than the current year loss which will be reported with the next results).

Perhaps they will continue to increase until they have 29.9% each?

Thanks for taking the time to visit this thread. If you are a CLV shareholder then please make it one of your Favourites and post any thoughts or info here rather than on the old thread with the out-of-date header.

If you wish to disclose a holding then please do so and I shall adjust the header accordingly. I don't see a downside but there may well be considerable upside. It is important for shareholders in small companies with a large management shareholdng to stick together IMO. I stress that I don't for one minute think that anything is untoward with management's intentions but I think it is a wise move to take a few precautions just in case.

Similarly, if you have already disclosed a holding and this changes then please let me know and I shall update the header accordingly.

I've created a new thread for CLV with an updated header. Unless anyone objects then I suggest we take the conversation over there. CR doesn't seem to be around so I doubt he'll mind.



I've broken down the share register as best I can. If anyone wishes to disclose a holding then please feel free to do so over on that thread and I'll update the header accordingly.

Just fancied a change of name. All of them are equally stupid.

I'm going to set up a new CLV thread this evening and intend on keeping a record of private shareholdings in the header. What with yours and pat dunk's contacts it will be worth a revamp of the only CLV forum that I'm aware of.

I hasten to add that I really don't believe anything like a delisting is being seriously considered but a mobilisation of small shareholders seems a sensible precaution.

I think the most likely course of action is a move to Plus, a return to paying divis, an improving outlook and a substantial rerating of the share price But then I would say that wouldn't I ...

Now own 250k at 7.5p average FWIW.

No I am just keeping a watchful eye over small caps looking likely to delist. I will support you all where I can help though and I do have regular contact with a very significant CLV private investor. I have not spoken to him about this company though.

Just spoken to the company. They are very frustrated with the share price.

Mainsail Pension Trust has nothing to do with the Board. Just a pension trust for a private individual who has no further shareholdings.

Possible move to Plus but wouldn't totally discount delisting altho would have all sorts of problems.

Very comfortable with recent guidance.

I just bought another 100k.

Have a word with them about this thread and hopefully they might start contributing. It might well be in all our benefits. 1.6 mill is a sizeable chunk and is nearly a third of the way to a blocking stake.

I hasten to add that I don't believe it is on the cards for one minute but it must be worth doing a little preparation on the off chance.

Des, I know of one person that has 60,000 and another that has a similar holding to me although I do not know exactly how many. I do not know if either use this site but I will ask them when I get hold of them. my average buy price is 12p and I was hoping to make a profit!!! Pat
