Despite the fact I have sold, I received the offer document from RaceBidco to buy CLV at 5p per share.

No-one will be surprised that RaceBidco is an MBO.

It is exactly this sort of shifty behaviour that led me to sell at 5.65p (for a hefty loss) shortly before it was delisted, despite the fact that I believed the company to be worth much much more than this.

The Directors seem to have behaved with a complete lack of understanding of sporting behaviour! i.e. delist (to stop the share price starts rising!) in order to be able to takeover the company on the cheap out of the sight of the market.

Value Investments picking up more and I believe have picked up my 70,000 at 5.65p (those out first thing got 5.8p).

Whilst it is a large percentage loss for me, I don't trust the board to deliver in my best interests as a private company. Whilst I suspect more value may be realised by hanging on I have decided to exit as its a small proportion of my portfolio and I would rather just forget about CLV!

Well, my last post here. After sleeping on the matter I have decided to get out.
Why?
- The gang of 4 are not to be trusted going forward. The passing of the dividend had nothing to do with "conserving cash" as I said at the time, it was merely a ploy to get the price down so that they could increase their holding cheaply with a view to delisting. They clearly feel no real moral obligation to the PIs who put up their money in the first place!
- Once private for all intents and purposes, as a minority shareholder, your holding becomes worthless. There are too many ways for the majority to extract the profits at the expense of the minority.
- Again, once private an illiquid share like this will never be on anybody's radar and the only buyers (the gang of 4) will hold you to ransom. Even if they sell out there is no guarantee that you will get same price as only their shares may be taken out at the agreed price. LSE rules will not apply.
- Keeping track of what is going on becomes a much harder and more dedicated a task. When you are time poor it will not happen.
- This will go private as they bought up another 7% of the company yesterday and are continuing to soak them up today.

It galls me to let these go as they do have a long term future. And it says what a disater the AIM market is that a company can be bought for less than its net cash, let alone its tangible assets and the inherent value of the business.
The moral of the story is buying shares in the AIM market is worse than a casino so buy with your eyes wide open and secondly make sure that directors holdings are within strict limits so that they can't get up to any shenanigans.

In the year ended 30 April 2008, Zapcat Racing lost £75k of turnover of £208k.

Rather more importantly it owed £450k to CLV. I am expecting that this money has not been recovered so in total CLV will have lost around £450k from this venture plus any losses from 1 May 2008 to disposal. Probably good to be shot of a loss making business in the current climate as the investment required to fund losses was probably just going to increase.

This should not impact the consolidated accounts as this £450k is just the rolled up losses that arose over the years (Zapcat had no substantial assets) and has already been reported (other than the current year loss which will be reported with the next results).

Thanks for taking the time to visit this thread. If you are a CLV shareholder then please make it one of your Favourites and post any thoughts or info here rather than on the old thread with the out-of-date header.

If you wish to disclose a holding then please do so and I shall adjust the header accordingly. I don't see a downside but there may well be considerable upside. It is important for shareholders in small companies with a large management shareholdng to stick together IMO. I stress that I don't for one minute think that anything is untoward with management's intentions but I think it is a wise move to take a few precautions just in case.

Similarly, if you have already disclosed a holding and this changes then please let me know and I shall update the header accordingly.

I've created a new thread for CLV with an updated header. Unless anyone objects then I suggest we take the conversation over there. CR doesn't seem to be around so I doubt he'll mind.



I've broken down the share register as best I can. If anyone wishes to disclose a holding then please feel free to do so over on that thread and I'll update the header accordingly.

Just fancied a change of name. All of them are equally stupid.

I'm going to set up a new CLV thread this evening and intend on keeping a record of private shareholdings in the header. What with yours and pat dunk's contacts it will be worth a revamp of the only CLV forum that I'm aware of.

I hasten to add that I really don't believe anything like a delisting is being seriously considered but a mobilisation of small shareholders seems a sensible precaution.

I think the most likely course of action is a move to Plus, a return to paying divis, an improving outlook and a substantial rerating of the share price But then I would say that wouldn't I ...

Now own 250k at 7.5p average FWIW.

No I am just keeping a watchful eye over small caps looking likely to delist. I will support you all where I can help though and I do have regular contact with a very significant CLV private investor. I have not spoken to him about this company though.
