However Caesars can refuse access to its US customer base if it doesn't like the owner of William Hill, therefore without Caesars the 80% is worth nothing, unless they can sell to someone else. If the US Holdco is not listed within 5 years of formation Caesars can sell it back to WH but for a maximum price of £497.3 million, paid in new shares of William Hill UK.
