Posting of Shareholder Circular


Hydrodec originally announced on 4 April 2008 its proposed offer to acquire the entire
issued share capital of Virotec International plc
("Virotec") (the "Acquisition"). On 7 May 2008, Hydrodec and Virotec announced that the
Hydrodec Independent Directors and the Virotec
Independent Directors had reached agreement on the terms of the recommended acquisition
whereby Hydrodec will acquire, for shares and cash,
the entire issued and to be issued ordinary share capital of Virotec, to be effected by means
of a scheme of arrangement under sections 895
to 901 of the Companies Act 2006 (the "Scheme").

The Directors of Hydrodec note the announcement today by Virotec that the Scheme Document,
which sets out, amongst other things, the
full terms and conditions of the Scheme and an explanatory statement, together with the action
to be taken by Virotec shareholders, is being
posted to Virotec shareholders today. Subject to the satisfaction or waiver of the conditions
of the Scheme, it is currently expected that
the Scheme will become effective on 25 June 2008.

The Directors of Hydrodec announce that a circular containing further information on the
Acquisition, the Scheme and the Disposal and a
notice convening a general meeting of Hydrodec to be held on 6 June 2008 (the "General
Meeting") at which resolutions will be proposed in
order to enable Hydrodec to complete the Acquisition, has been posted to Hydrodec shareholders
and will shortly be made available for
viewing on the Company's website (www.hydrodec.com).

The General Meeting is to be held at 10.00 a.m. on 6 June 2008 at 80 Cannon Street, London
EC4 6HL. It is currently expected that the
Scheme will become effective on 25 June 2008.

Capitalised terms used, but not defined, in this announcement have the same meanings as
given to them in the announcement of 7 May.

Am I getting my sums wrong I hold 30,000 VTI which at the proposed swap rate of 3.75 for 1 HYR equates to 8000 HYR, at todays bid of 53.5p this is equal to 14.26 per VTI share. As HYR are offering 13p per share I was considering selling VTI at 13.5 and buying HYR but if my sums are correct I am better off just letting the the swap go through.

You are right but I see HYR going up and away in the next 2 years and so I am sticking with it.20p gets me to breakeven which means that HYR would need to go to 75p if the takeover goes ahead on the outlined basis. Good luck.

fellas i have SOLD after many yrs .Read my above posts . basicly i dont trust them and i wasnt joking re my comments albeit talking in tongues . now i really do like bauxsol . hyr and molectra processes.and i do think the new entity wil probably do well. i just dont like the games associated with xyz etc , extravagant pay packets .pass the parcel companies that get bought back etc . secretaries saying buy when they are selling . the list goes on . people with offshore acounts . who knows what else behind the scenes

Do you agree with these figures and what do you think?

264168231 VTI shares in issue. HYR will issue 70444861 at ratio of 1:3.75 for VTI. HYR after takeover will cancel VTI's 54500000 shares in HYR. So the net cost in shares is about 16m which at 50p per HYR share equates to £8M for purchase of VTI less the royalty that HYR will not now have to pay.

What a great deal for HYR!

Well the results are out and it is hard not to be underwhelmed. OK progress is being made but now we learn of problems in US and dismissal of management following disappointing result for 2007. Italy has been abandoned, sorry, scaled back. I still feel VTI will get there eventually but whether the present shareholders are the ones to benefit is another matter.

Still no word about the land remedial contract referred to in the RNS of 31/1/08.

"The Company has been awarded a contract for its land remediation business in
Australia which is material in the context of the Company's operations. It is
expected that, subject to agreeing the text of the announcement with the other
party, this will be announced shortly."

Must be a very complicated text.

the pomeronians went for it hook line and sinker , handing over vast quanties of shell money .the handsome shareholder was now worried about a duel listing and the tax implications , he was informed why not go to the island land of the vamatonians as they had lax tax laws and all you did is live off a credit card.you could also trade shares infact anything could be done with enough shell money spread around in the rite claws .
the handsome aussietonian never did go to vamatonia .the next revelation was that the company had found another wonder product ( it took the fleece off of sheep) . they would flog that off also . the ceo told the handsome aussietonian to buy shares in this company as it would run up fast . ( alas he did not ) the ceo made a killing so he said trading through the island state ( whilst selling down the first wonder company) . alas the wonder hair product still was not doing well . the conglomerate decided to buy it back with the 2nd wonder product company. in the mean time the waters CHURNED WITH TURMIOL.'''''''

I can understand what drives Virotec up but what is driving Hydrodec - the combined group will be £132m at current prices. Is it possible there is a 3rd party putting a spanner in this cosy situation. Ludgate and Mr Gunn must be very pleased at the moment.

seriously suggest you guys do some research , vti spunout hyr , now i wonder if management got shares in hyr , funny how hyr now buys vti cough splutter , now whats that island called were its a tax haven cough splutter , oh forgot molectra andd ghf another spin off .btw emailing vti doesnt seem to get results glad u noticed lol
