12/2/2020 17:27 | From the "UPS" thread ... Master RSI 12 Feb '20 - 16:04 - 288 of 291 Edit UPS VANL 54p ( 53-55p ) On the recovery path after restructuring an placing new directors at the helm. Should be a beneficiary of yesterday's Government news on the go ahead for HS2. The CEO has been buying 3 times for the last 2 months. Some good buying since yesterday as the spread is narrowing. At the last Interims "We have a clear strategy focused on three core markets - housing, infrastructure and regional construction - where we offer a broad range of end-to-end technical capabilities through our extensive and well-invested rig fleet. Good progress continues to be made in building long term and strategic relationships with our key customers in all sectors." | master rsi

26/1/2020 12:48 | Keyno Post 660 - Admin error note12 "The Board of the subsidiary company will pay a dividend to the Company in advance of the final proposed dividend being paid to ensure that the Company has sufficient distributable reserves in order to pay the dividend." Regrettably, as a result of an administrative oversight, the subsidiary company dividend referred to in Note 12 to the 2018/19 Accounts was not made and as a consequence the requisite level of distributable reserves were not available within the Company prior to the payment of the Dividend. In addition, interim accounts should have been filed by the Company in respect of the payment of the Dividend. Consequently, the Dividend is technically unlawful. Dividends can only be paid out of distributable reserves and they have to be sufficient, at the time of the payment. A dividend was due to the parent, from a subsidiary. Without it, reserves were not enough. Eg Reserves £1000 Dividend due £1100 Shortfall £100 Pay Dividend from subsidiary £200 = Adjusted reserves £1200, so reserves are enough. Some clot FD? or minnion, didn't transfer the dosh, fom A to B in time, ie. before the Company paid the dividend. The statement "Regrettably, as a result of an administrative oversight, the subsidiary company dividend referred to in Note 12 to the 2018/19 Accounts was not made....." That has broken the law according to the Companies Acts. The wording is ambiguous as to whether the subsidiary didn't pass the right resolutions, or that they did, but just forgot the tranfer of funds. Clumsy or clever? In order to correct the problem, they have to hold a General Meeting to approve, in retrospect, to propose and pass the necessary resolutions to correct the problem. Rap on knuckles!! red | redartbmud
