He may have had the large shareholders on his back but this is just another squandering of shareholder cash whilst they reap benefits by holding jobs for longer. I may be wrong. I may be right. I just thought the irrevocables would have been "semi firm" or whatever the err legal terminology is. Contracts are always about risk mitigation (for both parties) hence I would always like my "back covered" and normally most irrevocables do include a percentage cash take over "get out" clause simlply because you never know what an offer draws (left field) from the "market", IMHO. | dunderheed | |

05/8/2024 06:43 | Well done Andrew, you have clearly articulated and set out the rationale and facts behind your decisions. I’m 100% in agreement. Good to see TXP note your intentions in todays RNS. TXP for anyone but those with the shortest investment horizons is the superior offer. Every TRIN shareholder, if they wish to recover their losses and eventually profit gainfully will take a similar stance. TXP will recover share price wise, it could quickly get to 60p….and if this acquisition of TRIN drags on, it plays into TXPs hands as those two new wells that TXP are soon to put in production will cause its share price to surge. So it’s in TXP’s interests to be patient here….they have the upper hand. I’m expecting TXP to eventually get into very high triple figures, it’s on a trajectory that should eventually take it there. I was thinking, there is nothing to stop those with binding irrevocable undertakings from selling their shares, but then they can’t easily sell those holdings in the market and LOL doesn’t have money beyond $2m to buy up loose stock….so I don’t see any concerns on that front. So I can’t see a way for LOL to successfully win this takeover, unless they somehow swing enough votes on a contractual takeover approach. This may seem a bit out there….the TRIN share price may be weaker today….TXP should consider buying some TRIN stock on the market at some stage if it gives them more votes/percentage ownership. | che7win | |

As I’ve said before it’s Trinity’s experienced M&A advisors Houlihan Lokey negotiating this, not Trinity directors… Which gives me confidence this is not incompetence but that everything is in order. Negotiations are happening and Trinity shareholders are benefiting from each improved bid. Houlihan Lokey have earned more than their fee for Trinity shareholders from the improved LO bid.
