N25/22 – Trackwise Designs plc – Suspension of
trading and settlement situation
CORPORATE
1. London Stock Exchange (“the Exchange”) has been monitoring the settlement situation in
Trackwise Designs plc (ISIN: GB00BFYT9999) following the Company’s recent notifications in
relation to the issue of new shares which are conditional on shareholder consent. As a result
of the deterioration in settlement performance, the trading of Trackwise Designs plc shares
has been temporarily suspended under Rule 1510 of the Rules of the London Stock
Exchange. Settlement of outstanding transactions can continue whilst the security is
suspended. The Exchange will continue to monitor the settlement situation and when trading
is to be restored, the market will be notified by Stock Exchange Notice.
2. Rule 5000 (Obligation to settle) and its associated guidance places an obligation on member
firms to ensure that every on Exchange trade is duly settled on the agreed settlement date.
This obligation remains even if the reason for non-settlement is a customer or counterparty
having failed to settle other transactions in the same security.

I think there's an issue, 400K sold, 375k, 300K, 250km 253k, 750K bought, which are large numbers, impossible.


I think LSE has intervened here; hence no RNS.

to 252% of the issued share capital;
• EBG had no reasonable settlement plan for meeting its obligations to deliver those shares;
• as a consequence, the market was distorted in that EBG entered into contracts to sell more
shares than were within its ability to deliver with the result that the short position could
not be settled in a timely fashion;

he effect of this conduct was that EBG's counterparties and approximately 250 retail
investors were adversely affected; and
• as a consequence of EBG's short selling, the suspension of trading of Room Service shares
was prolonged when the London Stock Exchange ("LSE") felt it necessary to intervene in
order to restore an orderly market.

1speedster - The forward selling of stock is not illegal so long as the company has in place the mechanism for the shares to be admitted to the official list.

I had noticed a big drop in the price this morning due to sells between 08:23 and 09:30. Some trades were 400k. I didn't believe they were PIs who had just been shafted with a 90% fall. I figured they must be holders of the new stock claiming their 10% before the GM. Just a theory and recognise I could be totally wrong.

The placing was oversubscribed so the reason for suspension is not a shortage of funds.

Shares have been suspended. Something isn't right here. But there is no rns. Can the exchange stop trade in the share without the company ask for suspension?


How do you know if it's a technical issue with forward-selling stock? What technical issue will that be? I thought forward-selling stock is illegal. Did I miss something here?
