The offer is for the whole share capital , but the conditions state it will not happen at all unless they get to 50% +1 acceptances... "Minimum Tender Condition. In order for Shareholders to be able to receive the Offer price for their Common Shares, at least 50% + 1 of the issued and outstanding Common Shares on a Fully-Diluted Basis must be deposited under the Offer prior to the expiry of the initial deposit period." But then they go on to talk about "Viston" being created since October 2008. However there is another company actually called Viston AG so should not be confused.... "Viston AG, previously in Zurich (SHAB No. 22 of January 29, 1987, page 355). According to the public document of the Extraordinary General Meeting on November 14, 1990, the seat was moved to Feusisberg. The statutes have been revised accordingly. The purpose of the company is to operate an artist agency for the placement of musicians, orchestras and artists from and in Switzerland, from and to European countries as well as from and to overseas countries, etc. The original statutes are dated June 30, 1971 " Etc...... Firstly we are always told , "if it looks to be too good to be true, it probably is" So the shares are not trading on the TSX currently suspended, but would be 19.5c The "offer" is 74c ! The offer website even says it is "1,032% over the TSX-V volume-weighted average price " of the 52 weeks Goes on to say since the company is a basket case, not accepting the offer would be a risk..... There is a ONE page website to disclose the offer details. Viston United Swiss AG has a ONE page website with no mention of any previous accomplishments by name. No clients quoted. It does say its into Green Energy but gives no detail of any project. One director has signed the offer notice. Their registered office in St Gallen , looks on Google Streetview like a residential apartment block. Previous Filings for Viston Ag - talk of activities of it "The purpose of the company is to acquire, establish, administer and manage investments in finance and real estate companies in Germany and abroad. It can broker the purchase and sale of other companies and lead, manage and restructure other companies, as well as acquire, manage and dispose of securities, intangible goods and capital investments. Providing all kinds of services in the field of investment and management of assets." etc No mention of energy etc.... ok so companies change . The set up seems very light on detail for any company actively engaged in Energy Even less detail than say Netoil..... What could the purpose of the offer be at this time..... ? | ![]() fenners66 | |
