Thanks Damac, I'm now starting to see the pieces move. It was the licences and TOM funding RNS which threw (or obfuscated) me.

Heavy Sweet Oil LLC will become relevant here soon.

Edit: I should also have added the the Greenfield multi-site CORT license (and the license that Valkor hold) are ‘protectedR17; in the event of Petroteq being bought out or folding.

All this take out talk and multiples of the current price or premium to the current price seems impressive but it's a nonsense

The true value of Tom or Petroteq if this all takes off is mega 10 years down the line ( and SPs are supposed to reflect discounted future cash flows )

The problem is shareholders who've just got in at 0.5p or traders think they've scored big on a 5 bagger

If Tom ended up with multiple sites and multiple plants well the numbers would be huge

As I explained in previous posts the acquirer wants this long term value

I just hope the controlling interest want a big prize and if we don't get the broker note I've described issued soon , I hope they've got a board communication ready to defend against a cheap bid

Having said that Valkor and the controlling interest probably control more than 50% ...so they'll decide anyway what price they want

Which logically means they've done the numbers needed to issue the broker note

I would think that Tomco and Valkor are way to far down the line now to prevent things moving forward, the deal being completed and ultimately Valkor taking 29% of Tomco. As I said before, this is the insurance policy against Tomco being taken out early and both Tomco and Valkor are in it together for the long haul. Time will tell as always but certainly not long now till finding out for sure ;)

Busa .. if the PQE offer is genuine and it seems to be it might be that the potential buyers are after the patent to the oil sands.

Funny that they only want 51%.

Our market cap is a pittance if the Petroteq deal goes through at $469m. And where would Mr Byle then get a USA licence for Valkor/Heavy Sweet Oil LLC if we were taken out as well? Or does he have a Plan B?

Valkor only get 29% of TOM shares once funding is achieved, as I understand it. Had to dig out the RNS:

"Issue of the Acquisition Shares is subject to Greenfield receiving funds from, or drawing upon, a loan or credit facility in connection with the construction of an oil sands processing facility as specified in the FEED Study dated 21 July 2021 (as amended or superseded) ("Financial Close")".

F66, they should have showed a bit of edge and confidence in what they are doing a couple of months back and raised the cash they needed to at least give the idea a chance. It might have stuffed the shareholders but 50% of something is better than 100% of nothing.

I do not think that fudging again will work. At a critical time they will look weak and it is amazing what the smell of blood does. Why buy a company if it is going to fall over (crossed Valkor's mind?). Central to their survival will be insolvency clauses in the licence with PQE. If they have one it will give them more protection from the 'helping hand' (double entendre intended).

They have to get the 10% deposit over the line while keeping enough energy to land the finance. The odds are stacked against them not helped by their lack of cash and human resource.
