I just re read - your post - I fully agree that “dilution̶1; of percentage held of the company is exactly right and that’s very important in company law ..

I’m referring to the dilution of the vaule per share as result of the placing -it’s Barely changed

If you are referring to percentage of company you own then I agree that drops directly - but that only comes into play if you are a significant owner and care about minority rights - if you shares were worth 34p yesterday they are still intheory worth 33.7p today. In fact proably more because it's just derisked the whole venture for the foreseeable

Dilution explained TEK had to issue 10,714,286 shares to raise £3mil - if they had done that @lastnights close of 34p they would have only needed to issue 8,823,525 (no dilution) as mkt cap up by £3m but so is the NAV / SHFTherefore shareholder funding have gone up by £3mil but we've "lost" 1,823,525 shares in the process this is the dilution - total new shares 141,542,328

I agree fully - do those sums for this raise and the "dilution" is 2% The number of shares in issue is up 7.5% but NAV or share holder funds is up buy circa £3mil It would be 7.5% if the shares were issued at zero pence I'll leave it with you

Sorry to disagree, but technically, "dilution" is a straight arithmetical comparison between the old and new numbers of shares in issue, irrespective of the additional value flowing into the company.

Here's the definition at
"Dilution occurs when a company issues new shares that result in a decrease in existing stockholders' ownership percentage of that company."

A simplistic example: Suppose X PLC, which has 10m shares in issue and an NAV of £10m (i.e. £1/share), arranges a placing of 2.5m new shares at £6 each in cash. The new NAV is £25m, in other words it has doubled to £2/share. Despite that, there's been a 20% dilution, because that's defined by the number of shares in issue - if I hold 100K shares, that used to be 1% of the company, now it's 0.8%: that's a 20% dilution of my percentage (which is what it means). Obviously the *value* of my shareholding hasn't reduced, nor has the placing has been anything but good for existing shareholders: quite the contrary. But dilution there has nonetheless been.

I fully understand where you're coming from and entirely agree that today's placing news looks very positive, but in the strict sense it's dilution even so.

In fairness, I guess it depends how you use the term. But that's the conventional usage, and perhaps Mick's poor old maths teacher might be due an apology.

You could look at it this way, you're still getting the opportunity to top up at 10% plus drop on yesterday's close, while the bigger boys get the cream. Onwards and upwards :)

TEK is now of a size that it can support its investments without massive dilution 2% is really small and the MKT Cap is now big enough to absorb - may be an overhang or may have an investor - let's see - I'm more impressed that they are not diluting the holdings and keeping investment in the companies we ownI think it's a great move
