I'm assuming you actually hold the shares and not CFD's? If the latter, the platform should have closed out your position when the offer went unconditional.

Not sure if you need to apply for your cash or whether it should have been sent to your account. Check with your platform provider or one of the contacts in the document above.

Edit: btw, no, they're not "worthless"; you'll get the bid price (105p/share)

Hi, I’m really late to this party and in fact have no idea what has been going on. I have shares in Stagecoach in my trading 212 account, I can’t seem to do anything with them, are they worthless? Would be great if someone could explain this to me, thanks guys

You had to accept the offer to get paid out. The offer finally closed on 5 July and the shares are now delisted. Stagecoach have announced that as they have over 90% acceptances, they will compulsorily acquire any outstanding shares.

"Stagecoach Shareholders may still accept the Offer, which remains open for acceptance until 5.00 p.m. on 5 July 2022. Settlement of consideration to which any accepting Stagecoach Shareholder is entitled under the Offer shall be effected by the issue of cheques or CREST payments within 14 days of receipt of the valid acceptance, whereas Stagecoach Shareholders who have not yet accepted the Offer (and do not accept the Offer by the time it closes) will not receive their consideration until the completion of the compulsory acquisition process which is expected to take a minimum of six weeks."

PEIF III Bidco is pleased to announce that as at 4.00 p.m. (London time) on 30 June 2022, it had received valid acceptances under the Offer in respect of, or had otherwise acquired, a total of 517,837,692 Stagecoach Shares representing approximately 92.15 per cent of the issued share capital of Stagecoach (excluding treasury shares).PEIF III Bidco will exercise its rights in accordance with sections 974 to 991 of the Companies Act to acquire compulsorily the remaining Stagecoach Shares in respect of which the Offer has not been accepted as contemplated by the Offer Document.
Non-assenting Stagecoach Shareholders who do not accept the Offer before it closes at 5.00 p.m. on 5 July 2022 will not receive payment until after the compulsory acquisition process has been implemented (which is expected to take a minimum of six weeks).

Stagecoach already have a bus depot in Stratford-upon-Avon. Makes things easier. I think Diamond were running the X20 route their Reddich bus depot.

It may be an appealing sector but you're never going to benefit from it via SGC as the price is now fixed. Whether you sell now, later, or wait until your shares are forcibly acquired, the price is the same.

I am still here just asking if you did not hit the sell button at this moment and wait until the process of the 2 week gap is over then i think they will buy your shares at £1.05 any advantage of waiting on the plus one share i saw somewhere and what does that mean ?.

I've had the message from HL. Whatever one thinks about the offer, I don't see that there's much point in holding on now. Yes, having less than 75% restricts what they can do but they're not going to offer you any more however long you wait and they're not going to pay a dividend. You will simply be a minority shareholder. Time to move on, methinks, but interested to hear any arguments for holding on.

As at 4.30 p.m. on 20 May 2022, PEIF III Bidco may count 363,942,816 Stagecoach Shares (representing approximately 65.99 per cent of the issued share capital of Stagecoach (excluding treasury shares)) towards satisfaction of the acceptance condition to its Offer.
The Offer will remain open for acceptance until further notice. At least 14 days' notice will be given by an announcement before the Offer is closed.
Stagecoach Shareholders are reminded that, as stated in the Offer Document, now that the Offer has become unconditional, if PEIF III Bidco has by virtue of its shareholdings and acceptances of the Offer acquired, or agreed to acquire, Stagecoach Shares representing at least 75 per cent. of the voting rights of Stagecoach, PEIF III Bidco intends to procure the making of an application by Stagecoach for cancellation, respectively, of the trading in Stagecoach Shares on the London Stock Exchange's main market for listed securities and of the listing of Stagecoach Shares on the premium listing segment of the Official List.
As anticipated in the Offer Document, as and when PEIF III Bidco has received acceptances under the Offer in respect of, or otherwise acquires, 90 per cent. or more of the Stagecoach Shares to which the Offer relates (as interpreted in accordance with the Companies Act), PEIF III Bidco intends to exercise its rights pursuant to the provisions of Chapter 3 of Part 28 of the Companies Act to acquire compulsorily the remaining Stagecoach Shares in respect of which the Offer has not been accepted.
