Hmm yes that new loan does seem a bit onerous again, now I've read the terms in detail. Not great, but I assume it's the best the company could get. At least it's interest-only until the end of 2025.There's definitely still risk here, it's not one for widows and orphans, but the sales are going hockey stick. Holders are betting that that continues...

Not clear why the enormous upset here. Reminds me of the upset at the 6p raise that retail investors ignored and missed out big time not so long ago. Growth coats money, but growth we do have. Ferracru works, really well.

The fact AOP are also backing this big time is a massive confidence booster. They don't want to be diluted from such a success story.

Don't know if you're honestly blinded by bullishness or a ramper but you seem to forget this is a ticking time bomb with a one product parent expiry. Another placing, another multiyear window of losses then breaking even is an horrendous investment outlook.

So they have 13.6m in cash rasing 6m and a 20 milion loan facility to get to break even end of next year . Seems very expensive to get to break even 40m Vs what 10m of sales revenue maybe . Doesn't seem like a good way to run a business when it costs more to get the sales than it generates

If the company "hopes" $120m in product sales come in 2025, and have a 45% gross margin due to these Viatris packs and other such things then what do you think the net margin is after..."Annual operating expenses for Shield are expected to be between US$42m and US$50m in 2023 and are expected to remain approximately at this level until the year ending 31 December 2025 "Let's not forget they've just signed up for a loan at approximately 14% interest rate ...

Sounds a risky investment to me...Financial covenants apply with minimum revenue targets and minimum liquidity of no less than the greater of i) trailing one quarter of cash burn or ii) US$2.5m. Warrants over 8,910,540 new Ordinary Shares will be issued to SWK with an expiration date of six years after closing and a strike price of 11.1p per Ordinary Share. The table below details the minimum revenue covenants:Trailing Four Fiscal Quarters Minimum Group (i.e., 12 months) Ended Revenue Q3'23 US$8.5m -------------- Q4'23 US$14.5m -------------- Q1'24 US$22.5m -------------- Q2'24 US$31.5m -------------- Q3'24 US$38.9m -------------- Q4'24 and each fiscal quarter US$45.7m thereafter -------------- In the event of the breach of a minimum revenue covenant, Shield can avoid default by raising equity or subordinate capital equal to, or greater than, 200% of the breach. Shield has a period of 40 days from the date of breach to evidence to SWK the raising of sufficient capital to cure such breach. Shield can utilise this cure route three times over the life of the facility and not more than twice in any 12-month period

It's NOT 17.9% discount;

The Issue Price for the New Shares to be issued pursuant to the Equity Fundraising of 8.0 pence per share represents a discount of approximately 17.9 per cent. to the closing price per Ordinary Share on 27 September 2023 (being the latest practicable date prior to this Announcement)

It's actually over 30% discount to yesterday's opening price of 12.25p

GrrrrrBlatant insider dealing yesterday and the 8p raise takes all the gloss off the results.We were sailing nicely upwards until now and if previous experience on placing etc is anything to go by we'll now be around or below 8p for several weeks.Maybe a raise was at some stage was inevitable given that we are forecast not to break even for another 14 months but they could have let the momentum go on for longer.
