AOP Health subscription

On 29 October 2024 the Company announced that it had entered into a non-binding term sheet with AOP Health International Management AG ("AOP Health") for the potential provision of $10 million of new equity. The Company is engaged with The Panel on Takeovers and Mergers (the "Takeover Panel") to seek a waiver from the obligation of AOP Health to make an offer under Rule 9 of the Takeover Code and expects to convene a meeting of Shield's shareholders (the "General Meeting") before the end of 2024.

I wonder if “convene”; means announcing the date of the meeting (21 days notice needed)?
An RNS scheduling a GM mid Jan 25 along with November update might give everybody food for thought.

The SWK revenue target includes all revenues including milestones.
STX could, as far as I see it, include the $5.7m as revenue because it is probable that the payment will not be reclaimed and they can include just some of the payment as revenue to reflect any uncertainty.

Has anyone had it clarified whether 'revenue' for the purpose of the SWK covenants includes milestones? I assume it does (even though I'm not clear if under IFRS milestone payments are included within revenue?).


From the Q3 update:


'Total Group Revenues: $8.0 million including royalties and milestones from global partners for Q3 2024 resulting in $20.0 million of revenue for the 9 months ended 30 September 2024. The Board's internal estimates indicate that trading remains in line with market expectations for 2024 and is expected to meet the total revenue covenant target of $31.5 million for full year 2024 under the debt facility agreement with SWK Funding LLC.'


They are including milestones within their definition of revenue in these quarterly updates, and talking about the covenant target within the same paragraph. So I assume milestones are included for the purpose of the covenants.

But I would also not be surprised to see another territory or two coming on.

Interestingly the royalty stream should really start rising too. We can see the UK more than doubling in a year and would think other European nations are similar. Plus Canada is now on stream with Kye. They are growing really fast with numbers of new staff arriving

Sorry, I wasn’t clear. I meant from the perspective of achieving the milestones (and booking the income) rather than when the cash might be received.


Since the conditions for the Canadian milestone payment were fulfilled in August I would expect the £250k to have been included within the $8m revenue figure reported for Q3. Making the Q3 figures, $7.2m Accrufer, $0.3m milestone, and $0.5m royalties.

I’m not expecting anything for Q4.


For 2025 I’m hopeful for the following:

*EUR 1m on granting of the paediatric indication
*GBP 1.5m on first commercial sales in Korea.

Following the Conversion, AOP and its concert parties will hold interests in Shield Shares representing approximately 41.9 per cent. of the voting rights in Shield. Consequently, AOP is required to make a mandatory cash offer for Shield pursuant to Rule 9 of the City Code on Takeovers and Mergers.

To my knowledge I have not seen any RNS stating this so just goes to show the corrupt Environment of AIM
