"The Directors should be paying in -- not taking out !!" It's as though 1w doesn't know Ettie a all. 21 years should tell you that it's all about shareholder returns and not the Porterhouse Blues.

RRR are in a very good place and should only be judged by their exports.

As always I shall be voting a resounding yes after all the shareholder value that Ettie has delivered over 21 years. The man has to eat FFS and there is no need to be mean. It's only money after all.

According to Lundy (Helpful on LSE) Auntie Ettie is not Bell, says he has asked him outright numerous times.

The above is relevant as only a few days before the GM RNS Auntie Ettie was suggesting folks should buy the shares and reap the rewards, what does Ettie say now one wonders?

A few are starting to see the wood from the trees, some are openly posting they will vote NO to the resolutions, of course Bell seemingly has the 'major shareholders' in his pocket, how does he do that one wonders, so it is likely the resolutions will pass.

DRC money, what DRC money !



N.B.

Oh before I forget - William Black (major RRR shareholder) is now playing around with Woodbois equity, probably trying to recover his significant losses here.

That £1,000,000 will get burnt fast enough on 'Admin', Flights, Hotels, Meals, staff wages etc etc

Plus the high chance of some ill-fated hair-brained 'deal' coming in of course.

Asset sales are a-looming. And it's gonna be the only decent potential assets this company has got, because nothing else is worth much if anything.

Found the Form of Proxy on the rrr website using a search.

Here are the only 2 resolutions ---

ORDINARY RESOLUTION For Against Vote Withheld

1. To authorise the Directors to allot equity securities up to a maximum
aggregate nominal value of £250,000.

SPECIAL RESOLUTION
2. To disapply pre-emption rights up to a maximum aggregate nominal value
of £250,000.

I totally agree.
The Directors should put their money where their mouth is.
A Directors Loan should be pursued before any more dilution for shareholders. That would be the best backstop by far.

I think it is time that the Chairman should be sacked if arranging finance, other than yet more dilution, is not applied.

The shareholders have been massacred with what must be well over a hundred dilutive share issues.

Time for the Directors to put THEIR money where their mouth is, or leave.

Vote against resolution and put the Directors on the spot.

Time for Bell to put his hand in his pocket or leave.

the company and is not listed as a shareholder. However, it would be
interesting to see something you have confirming his £35k purchase of BZT shares.

He put his hand in his pocket fairly recently at BZT buying 135 million which cost him about £35k but has not done the same here to my knowledge.
Unfortunately the selling here tells the story. Forward selling to pick up cheaper for when the confetti cannon is fired.

Instead of a placing the Directors and Management could easily lend to Red Rock Resources
in the certainty, money will eventually arrive for DRC, NBGC, El Limon, and Elephant Oil as they say.

Of course, if they do not believe what they are saying and reporting to shareholders they would not
dare to lend money at a low interest rate. Their preference as directors is to get Free Shares every Spring.

Because the Directors and Managers are reluctant to put up their own cash shareholders
might well do better by voting against issuing more shares thus denying a placing.

A case for Directors to put up or shut up.

Read the documents and take the time to understand, particularly the Chairman's Letter, the logical process is there to ensure finance is in place, if and when needed, should the expected DRC cash not come through in time.

1} The Chairman expects to receive the DRC cash in time but needs a back up plan as put in his letter.

" we need to have, and to be able to show, a back up plan assuming possible delay to the expected receipt of any payments from the DRC. For this purpose, we need an additional share authority. "
Note the 'expected receipt of any payments from the DRC '


2} Within the Chairman's Letter it explains that a further authorisation is needed for RRR to issue more shares. That would give RRR the authority to issue shares up to a total of close to 2.5 billion.
Note that is just the Authority to Issue. Not a proposal to issue all those shares in one go.
Should it be necessary, the shares would get issued as and when needed.


3} If needed, there are further options for finance through loans, bringing in partners, sale of assets etc.

It does make sense all the way to have a back stop should the DRC cash not arrive as expected. Bell should be working very hard on receiving the DRC cash in time AND as a backstop, pursuing other options to fund the company without dilution.
