If you look at the previous return, it will probably be the same. Cash or B shares that can be sold, avoiding the dividend tax taken at source in a sipp

Not long to wait then.

I am very interested in how they will distribute tax efficiently.

I guess they have 'the good and the great' working on that.

Last year the preliminary results were released on 15th.March. Their one employee has not updated the web site as to this year.

Volvere (VLE) board worth a look. Invests in distressed companies and has a great track record. Currently mainly in cash looking for next target. Brexit could throw up juicy opportunities

Zcaprd7 I got the P.V. idea from reading Jereon Bos of Church House Investments.

I am short of ideas right now.

Suggest look at RLM. Effectively cash only now (last asset sale completes Mar 28, if approved by shareholders).

Will delist from AIM leaving only NASDAQ listing from Mar 27 on. It is up for sale with a number of interested parties, who are interested only in the cash.

Attraction is that the cash (before transaction costs, redundancy costs) is about 1.8 times the share price (was 2.1 times yesterday, so share price is increasing rapidly to close the gap.
I will sell if cash/SP ratio reaches around 1.3.

You need to be sure your broker can convert the AIM shares to ADSs via a free facility offered by the company (deadline Mar 18) in case the value does not out before then.

See RLM board, and the RNS and Circular on this for more detail.

The share price is moving fast mind.

Nope, I'm waiting for this to play out. Looking for new ideas for my bear portfolio once the cash is returned, gold miners is as far as I've got, but open to suggestions...

Zcaprd7 are you in any other 'net' 'net' stocks or liquidation plays?

Same as before I guess, they made it quite tax efficient from memory ie not treated as a dividend...

March not far off.

I still wonder what happens to the shell plus tax losses.

Also how will they distribute and what will be the tax consequences?

Question, questions, questions! Nice questions mind!

I suppose the BoD will take their salary (three of them I think, any Neds?) and the legal fees and listing fee etc, but what else is there if the German ops are break-even?
zcaprd7

Indeed, I envisage break-even, there is 1 employee in the UK, and I suspect the German operation isn't a drain if they're selling it on?

We'll find out soon but I'd be surprised if H2 18 and H1 19 losses are that high. The business was well and truly shrunk in H1 18. You've guesstimated £5.8m losses in 9 months for a company with only 20 employees and not much trading. I'd guess more like E2m. No way to do much more than guesstimate...

Rough guess, 39.6m euros at midway point last year, +14.3m of proceeds, -3.8m in h2 admin expenses, minus 2m expense by March being over

Gives around 48m euros, or 42m pounds. So current price looks about right? Anything I'm missing

Thanks

In the 2017 accounts the retained losses were £8,431,000. These must be worth circa £1.5 million if useable.I am sure HMRC will argue.

zcaprd7 Yes for the quote perhaps - the tax losses, if they are available will push that figure up.

After the cash distribution I still wonder what a clean quote on the main market with lots of tax losses is worth?

It must be £2 or £3 million?

I will probably hold on after the cash distribution to see what is reversed into it (he says hopefully!)

Yes, that was my hope, senior management in Germany buys it for €1 so it saves us the trouble of further redundancy costs. However, and I'm speculating wildly, I think the UK management were looking at acquisitions to bulk up the German operation (with the new glass cutting strategy) to justify the London listing and carry on operating. This notion has all fallen through (thankfully), but the negativity around the German operations (unions etc) seems to have lifted and been replaced with positive noises about a sale. Compared to the money held on account (hopefully in euros still), it will be small fry, but I think we can expect more the €1 now.

Selling the German ops may be a way of reducing any redundancy obligations.

I'm beginning to think the German setup might be worth a few quid, there was no need for the upbeat final paragraph of that latest RNS release?

Curious, I still have some of my holding as I wasn't able to sell it all on a single day but the share price is now pretty much unchanged from before the announcement.
If I thought I would ultimately see a return of around 30p I would hold on but the market seems to be saying that I won't.
I don't have that many left but equally if I thought that waiting a few months would give me a return of 20% it would be a no brainer.
