S4T was another leo Knifton special with endless shares being issued. I expect the PTC investment is next to worthless.

I have been researching PNC Telecom

1. The company has a £150K investment in SIM 4 Travel according to 30th Sept 2008 Interims, SIM 4 Travel have been sold and the holding company has changed its name to S4T PLC. As far as I know it was part share and part cash exchange so S4T PLC is now a cash shell which has been delisted of the plus market. I wonder what the current valuation of their investment is maybe we will only find out when the Interims are released in September 2009.

2 The other part of the company is SPEC and Lenses. This is the only part of the business that is generating turnover and trade for the business. They were planning to sell on the internet and through retail. I was not impressed by their website. They said in their March 2008 report that they will open 2 more stores having a total of 3 stores. Does any one know if they have done this How much is this part of the business really worth.

3. In June 2009 the company raised an additional £76,500 for Working capital.
raised at 0.03p. I wonder how this money will be spent.

4. The VAT Issue is worth £1.2m to the company and is shown as a debtor. I know this has been ongoing for many years. If this materialises it will give the company some cashflow and money to invest.

5. Darren Ridge a shareholder has converted his loan for equity and done this is at 0.1p which is above the current market price in July 2009. He currently owns 11% of the company.

5. I cannot see what Telco business this comapny is doing. Does any one have an idea.

It looks like the VAT issue and the specs and lenses are the main thing that will restore the companys value unless company is looking to expand its interest elsewhere.

Here is an interesting slant on the Extended Verification process.

The lone notes may well have been but Darren Ridge was not notified as a holder and left the company before they were issued. Really does not add up. He is running a successful business having left PNC Telecom why would he decide to loan them £60,000, that really make's sense he's a businessman not a charity

It's more likely so he can sell them whenever he can so at least get some of his money back as he knows the company is going nowhere.
These loan notes are exercisable until 2012 so there was no rush to exercise them, unless you want to sell the shares.

'This note was included in a tranche of convertible loan notes totalling
GBP500,000 convertible at 0.1p per share at any time for seven years from 29 April 2005 to 28 April 2012....

This note was included in a tranche of convertible loan notes
totalling GBP120,000 convertible at 0.1p per share at any time for seven years
from 17 February 2005 to 16 February 2012 which were issued in February 2005.'

These loan notes have been around since 2005!!!

But Tarvold, there is nothing to suggest Darren Ridge held any of the loan notes until the recent RNS and as he left the company well before the loan notes were first issued and all the other note holders have been declared would it not be right to assume that this is a recent transaction. If that's the case why would a very successful business man suddenly decide to become the owner of another 60 million shares?

Don't tell me, Tarvold, let me guess! Could it be to make some money? And just how can he do that, smarty pants, without selling his holding? So he must be expecting the share price to go north at some point and given his business acquirement I would suggest he is pretty certain it will.

Not sure alby...

I will go back and try for more information. Recent buying volume does seem to indicate that something is going on.

The right is to convert the loan to shares not to buy shares you idiot.
You are clearly too stupid to understand how convertible loans work!

inside, they issued shares at 0.03p. If i recall, did you not post that that is the best they can get. If so, what does that say about the valuation of PTC as a whole..

saffy...
