The management can't be accused of just sitting on their hands - plenty of sensible corporate action.

Prospects look good P/E very low and dividend yield high and rising.

On first reading lnterim results look good.

Increased ordinary interim dividend of 18.4 pence per share declared,
consistent with our unchanged dividend policy, and representing an increase of
2.2% vs the final dividend The dividend will be paid in equal instalments of 9.2
pence per share on 30 December 2022 and 6 March 2023

Now we know why the share price fell.

No RNS about where the 4% of the company's shares went or what price they got by dumping them. There is no sign of that amount of sells in the recent trades data that I can see.

The non-binding letter of intent given by The Ramsey Partnership Limited
("Ramsey") related to 7,486,300 Appreciate Group Shares, representing
approximately 4.02 per cent. of the issued share capital of Appreciate Group
as at the Latest Practicable Date.

On 10 November 2022, Paypoint was advised by Ramsey that it had since disposed
of its entire holding of Appreciate Group Shares and were no longer in a
position to vote in favour of the Scheme at the Court Meeting and in favour of
the Resolution to be proposed at the General Meeting in relation to those
Appreciate Group Shares.

For what its worth I think Paypoint have got a very good deal here, if they can grow the Appreciate business. That's not going to be too difficult as it was flat lining with a poor CEO.
Appreciate have net company cash of c£20m as well and so the price is only really around £60m or c£40m cash.

I sometimes think I give the market more credit than it deserves. My best guess is that today's fall is a combination of some or all of the following factors:

- Paypoint has overpaid for the business. People maybe just read the premium to the share price prior to announcement and thought Paypoint has paid way too much
- mix of cash and shares. Can Paypoint afford the cash? Does it impact ability to pay dividends?
- less than obvious strategic rationale. I'm guessing most people had to look up what Appreciate did, and many are still probably asking what's it got to do with Paypoint. In my experience, that can undermine confidence in management, which leads to selling

I've not looked into it in detail, but I assume there are a decent chunk of cost synergies to be achieved here. Could also be some tech upgrades, plus PAY does need to diversify its revenue streams, so...

Either way, looks like management will need to show the benefit over the next 12 to 18 months, because the market is not congratulating them today.

Thx, yet shares are down 9% as I type this 528......This will have to be funded by debt and with current interest rates will be a burden. And some obviously don't like the deal as seen by the sell off this morning.....Will a long wait now for PAY to recover, if it ever really does...........

I scanned through the RNS and it says that Appreciate shareholders will own 5% of the combined group, so I think that's your answer.

0,8px186m (approx 1,5m) will be paid as dividend for APP shareholders. Otherwise 6xEBIDTA (probabily 5x this years) is not expensive imo.

I was commenting about the share price for Appreciate group and its cash position, divi payment and turnover..........Wondering if it was such a great buy, they got it on the cheap deffo as share price is well down over 5 years but was it worth the premium paid? Its also been commented that Appreciate hold 20m in cash, but most of that will go out for the up comming Appreciate group Divi.....

The share price has fallen from 90 to 26 over the last 5 years, dividend payments are 76% of the company profits.Will be interesting to see how this acquisition makes sense, we are also being diluted to do it although I haven't worked out the percentage yet. Anyone with batter maths skills help??

A big premium to APP's current share price but taking advantage of their current low share price.

They have had a bit of a clear out of their board so their management probably needs sorting out.

Their Love2shop brand seems to be a success. Their takeover of the IT business MBL could prove very useful to PAY.
