Bunglez1 - few people have commented on Gunn accumulating 53% because he didn't - he had the vast majority of them from the start. It's all covered in the Prospectus. There was a "whitewash resolution" (the name alone suggests that it's not a good thing) and it's covered in depth in the risk factors. Anyone considering investing should have read this, and as a result shouldn't have invested.

Following the implementation of the Proposals, which are conditional, inter alia, on the approval of Independent Shareholders voting on a poll at the General Meeting of the waiver of any obligations of the Concert Party to make a general offer to shareholders pursuant to Rule 9 of the Takeover Code, certain Shareholders of the Enlarged Group who are deemed to be acting in concert will hold 345,336,133 New Ordinary Shares, representing 61.64 per cent. of the Enlarged Issued Share Capital pursuant to the terms of the Acquisition. This Concert Party comprises the Vendors, being John Gunn, Suki Gunn and Corstone LLP as well as David Lenigas and Nilesh Jagatia.



Under Rule 9 of the Takeover Code, the Concert Party would normally be obliged to make a general offer to all Shareholders (other than the Concert Party) to acquire their New Ordinary Shares. The Panel has agreed to waive this obligation of the Concert Party to make a general offer that would otherwise arise as a result of its resultant shareholding in the Company, subject to the approval of the Independent Shareholders (on a poll) at the General Meeting. Your attention is drawn to the Rule 9 Waiver section contained in paragraph 10 of Part I of the Admission document.

Nomad's are employed by the directors, AIM has no protection companies do and say what they want in the knowledge that there is no comeback. Just look at the lies John Gunn has said on INSP, he has even lied on camera in Proactive interviews lol.

Gunn needs a lot of support to get this over the line and I just can’t see why he would get it. As long as everyone uses their vote to say no to pretty much all of the resolutions then this will stay listed.

Doesn't just happen on AIM. Have a look at ALGW, ICON and BigDish which are all on the Main Market, yet their Directors are just as bad as Gunn. At least AIM provides a little protection to investors by requiring a Nomad that at least scrutinises some of the waffle that is put out to the market.

Few people have commented on how he managed to accumulate 50%+ of the co without making a formal offer. Also seems as though he is taking advantage of the covid pandemic to restrict shareholders from attending/voting on this. I'm sure a few fellow shareholders have some legal knowledge and certainly hope this will at minimum be referred to the FCA for initial oversight??Failing that, sending a circular out to the companies customers highlighting this and/or involving the press may put some uncomfortable pressure on the BoD..

The list of major shareholders including in todays Final Results is shown as having 77.87 of the shares, with J Gunn holding 52.89%. This list includes Roger Barby as holding 9.23% of the shares. Others are Interactive Investors 5.84%, Jim Nominees 5.67%, and Vidacos @4.24%.
Is it conceivable that all these shareholders have already signed up to this de-listing idea or is this a total shot in the dark?

I said it earlier today, If JG thinks this is a smart move I reckon he should think again. His reputation will be negatively affected. If I worked in a family office type operation then I would be giving GIS a bit of a wide berth as a go to operation for my international settlements. Trust and reputation still actually counts in this world and going around repeatedly shafting folk can backfire on the shafters in the end. This kind of sharp tactic won't be forgotten
